Deputy General Counsel, Healthcare

Remote; Washington, D.C. or Boston, MA preferred

About Us

Red Cell Partners is an incubation firm building and investing in rapidly scalable technology-led companies that are bringing revolutionary advancements to market in three distinct practice areas: healthcare, cyber, and national security. United by a shared sense of duty and deep belief in the power of innovation, Red Cell is developing powerful tools and solutions to address our Nation’s most pressing problems.

Red Cell is hiring a mission-driven Deputy General Counsel: Healthcare to lead legal work across our healthcare portfolio. This is a high-autonomy seat, reporting directly to the General Counsel, and working alongside and in coordination with other internal teams and outside advisors.  At Red Cell, we build and invest in companies tackling some of the most challengingproblems in healthcare, cyber, and national security. You’ll help make that possible by leading the regulatory, privacy, and commercial legal work that lets our healthcare companies move fast without getting it wrong.

You’ll report directly to our General Counsel and lead the legal work for our healthcare companies, with ownership across almost everything we do. You might work through the HIPAA and data-flow analysis for a new product one day, negotiate a BAA or a key commercial agreement for an incubated company the next, and pressure-test a referral or compensation arrangement against the Anti-Kickback Statute and Stark the week after.  You’ll own the healthcare regulatory and privacy questions across the portfolio — HIPAA and state health privacy laws, BAAs and health data use, fraud and abuse (Anti-Kickback Statute, Stark, beneficiary inducement), telehealth and licensure — alongside the commercial contracting and corporate work that comes with building early-stage companies.  You’ll work at every level, from engineers to C-suite leaders, and own the legal outcomes for our mission-critical healthcare companies.

We work hard and believe in what we’re building.  And we take our work seriously, but not ourselves. We treat each other with respect (even when things get stressful—which they will!), and we have zero tolerance for arrogance or unkindness. Hard work, high standards, and good humor are the foundation of everything we do. You’ll also get access and exposure to the leading edge of AI: from our incubations creating new tools and functionality to our internal teams using the latest technology to learn better and more effective ways of working.

We’re most excited about candidates who built their practice at a strong firm, took that experience in-house, have depth in healthcare, and have led other lawyers along the way.

If you’re the kind of lawyer who wants real ownership, thrives under pressure, and is ready to build our healthcare legal function—come build with us.

Qualifications:

Required:

• J.D. and currently licensed to practice and in good standing in your U.S. jurisdiction
• 12+ years of healthcare legal experience, including substantial in-house time, with a demonstrated track record of running regulatory and commercial workstreams independently
• At least 5 years working with health tech or digital healthcare companies, with direct responsibility for regulatory and privacy compliance
• Experience managing and developing other lawyers, including setting priorities across a team and reviewing their work
• Deep, hands-on command of HIPAA and state health privacy laws, BAAs and health data use, and healthcare fraud and abuse rules (Anti-Kickback Statute, Stark, beneficiary inducement)
• Sound, independent judgment under pressure.
• Team-oriented, high-energy, and proactive.  You are someone who gets things done and makes the work better for everyone around them.

Preferred:

• Experience drafting, reviewing, and negotiating a range of commercial contracts (e.g., vendor, SaaS, services)
• Familiarity with telehealth, clinical operations, reimbursement, or FDA-regulated products
• Experience with venture financings, equity incentive plans, and sell-side M&A
• Experience with venture studio or incubation models, or standing up a legal function at early-stage companies
• Experience supporting venture-backed or high-growth startups
• Experience using AI legal tech or other productivity tools.

Compensation: $360,000-$440,000 base. This represents the typical salary range for this position based on experience, skills, and other factors.
