Position Description:
The Corporate Counsel is a key member of Ren's legal Team within the Legal, Compliance & Risk department This role provides high-level strategic legal support and general corporate counsel to senior management, the General Counsel, and the Associate General Counsel. The Counsel, Corporate serves as the Corporate Secretary for Renaissance Charitable Foundation (RCF), provides governance support across the nonprofit entities and collaborates with a wide range of internal stakeholders on matters including M&A, corporate transactions, data privacy, employment, and intellectual property. This role operates with significant independence and is expected to serve as a strategic legal partner across the organization.
Duties & Responsibilities:
- Provide M&A and corporate transaction support, including due diligence, negotiation, and legal integration.
- Serve as principal legal advisor to senior management on strategy, risk, and compliance matters, providing thought leadership across multiple functions and influencing key organizational decisions.
- Review externally facing documents, including websites, RFPs, and marketing materials, for legal risk.
- Collaborate with the Compliance and Risk team on consumer protection, data protection and privacy, regulatory frameworks, and governance matters.
- Assist in intellectual property management and protection.
- Support crisis response and management efforts.
- Monitor and advise on evolving corporate legal landscape to keep leadership informed.
- Serve as the primary legal resource across People Ops, Product, IT, Revenue, and Finance teams, applying judgment to evaluate complex issues, identify risk, and recommend courses of action with organization-wide implications.
- Serve as Corporate Secretary for RCF, supporting the RCF Board of Directors and other RCF Officers.
- Provide governance support to ARC entities and act as a resource for corporate governance matters.
- Manage and oversee outside counsel as necessary.
- Leverage AI tools and technology to streamline legal research, document drafting, due diligence workflows, and contract review, advancing the team's operational efficiency.
Education & Experience:
- Juris Doctor (JD) from an accredited law school; admission to the bar in at least one state required.
- 5+ years of legal experience in-house or at a law firm with corporate, M&A, or transactional focus; broad cross-functional exposure preferred.
- In-depth knowledge of M&A, corporate finance, governance, and corporate transactions.
- Experience with employment, intellectual property, and/or data protection and privacy is strongly preferred.
- Exceptional analytical, problem-solving, and strategic thinking skills.
- Strong written and verbal communication skills; ability to advise and influence senior leadership.
- Proven ability to collaborate with diverse stakeholders including executives and board members.
- Ability to represent Ren professionally in interactions with ARC entities, sponsoring organizations, and outside counsel.
- Demonstrated AI fluency: experience using AI-assisted tools for legal research, contract analysis, or document drafting; commitment to staying current with emerging legal technology.
- Operates with a high degree of independence; exercises wide latitude in determining approaches to complex legal matters and is recognized internally as a subject matter expert. Ability to direct the work of outside counsel and serve as a mentor and resource to colleagues on cross-functional legal matters.
