Position Summary:

The Director, Internal Controls oversees Roivant’s compliance with the Sarbanes-Oxley Act (SOX) and supports ongoing control improvement initiatives. This includes the planning, testing, execution, and management of Roivant’s SOX Section 404 compliance program, which requires all functions to document, test, and evaluate internal controls over financial reporting. This role monitors the overall program status and timelines while fostering cross-functional communication and coordination, driving training and process improvements, supporting issue resolution, and ensures control remediation and audit readiness for management and external auditors.

Responsibilities:

  • The Director, Internal Controls is responsible for ensuring the SOX program is compliant with Roivant’s SOX program standards. This role will manage the program schedule to ensure deliverables are met, including all Roivant deliverables sent to auditors. 
  • This position will lead all activities and responsibilities within the Internal Controls function, coordinating the management of the integrated process, risks and controls. This also includes the review of processes and systems and assessing control design and execution both inside and outside the finance function.
  • Review completed internal control documentation, assess and evaluate testing results, review ratings and conclusions, and evaluate / prioritize any identified deficiencies. Communicate expectations for remediation of deficiencies and monitor remediation efforts.
  • Act as subject matter expert for internal control matters, advising management and control owners across Finance, IT, HR, and Legal.
  • Stay current on developing audit regulatory standards and controls technologies to provide expert guidance to control owners and management and ensure control requirements meet audit standards.
  • Provide strategic leadership and continuous, comprehensive support to department managers for the completion of all Roivant SOX Section 404 and 302 requirements. Assess and forecast resource needs and oversee annual projects to successful completion.
  • Evaluate and identify process enhancements to improve efficiency and effectiveness of the global SOX program and control environment including opportunities for technology optimization.
  • Oversee testing schedule and coordinate with third-party resources, internal resources, and external auditors.  Support the timely and thorough completion of annual and ongoing scoping activities, including identifying and analyzing all relevant matters that could impact SOX scope and proposing recommended approaches. 
  • Collaborate with Roivant external auditors to coordinate SOX audit testing, associated audit requirements and SOX controls, audit timelines, and deficiencies. 
  • Regularly communicate with senior leaders to ensure their continued knowledge and awareness of changes within the business and emerging risks which could impact SOX compliance or internal control environment.
  • Manage updates and make adjustments to the control environment through various company initiatives including process changes, system implementations, reorganizations, fraud incidents, and business combinations/acquisitions.
  • Develop and deliver periodic status and deficiency reports to management. Prepare executive reporting on program status for executive sponsors and audit committee.
  • Identify and suggest opportunities to improve and streamline current department processes and procedures.
  • Conduct ad hoc analysis and review of internal controls across all functions.

Skills, Qualifications, and Requirements

  • Bachelor’s degree in Accounting or Finance.
  • CPA strongly preferred; other relevant certifications (e.g. CIA, CFE) are a plus.
  • 10+ years of Auditing, Controls, Accounting, or Finance experience gained through employment at a major Public Accounting firm and/or within the Internal Controls function of a U.S. public company.
  • Demonstrated ability to work independently and adjust priorities to achieve accurate and timely results.
  • Strong communication skills (verbal and written) and proven ability to effectively collaborate across functions and with executive leadership.
  • Ability to continuously identify process improvement opportunities and implement change.
  • Ability to maintain a strategic perspective while effectively applying technical expertise at a process/control level.
  • Proficiency in Microsoft Office tools (e.g., Excel, PowerPoint, and Word).

Base salary for this role will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market conditions. The expected base salary for the role will generally be between $220,000 - $240,000 per year at the commencement of employment, but the final salary offered may be outside this range based on individual circumstances and business and market conditions.

Base salary if hired is only part of the total compensation package, which, depending on the position, may also include other components such as discretionary bonuses, equity, and Company-sponsored benefit programs. 

This position is at-will and Roivant reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance and business and market conditions.
