Senior Counsel

S&B USA has an excellent opportunity for a Senior Counsel – Construction to join its legal team, based in Pittsburgh, PA. We are looking for a hands-on construction/infrastructure attorney who enjoys working in a collaborative team environment, possesses an energetic, results-focused, and solutions-oriented approach, and always acts with the highest level of integrity and ethical standards.

The successful candidate will be responsible for providing proactive and actionable legal guidance on various matters, including corporate, transactional, sourcing, litigation, corporate governance, compliance, labor and employment, regulatory, and other matters.

What you’ll do:

  • Construction/Infrastructure Contracts: Draft, review, and negotiate complex procurement and project delivery agreements across all procurement types, including Bid-Build, Design-Build, Progressive Design-Build, and DBFOM/P3 structures (including concession/development agreements, interface and back-to-back subcontracts, design agreements, teaming agreements, utility/railroad agreements, and supplier agreements.
  • P3 Projects: Coordinate with deal teams, partners, and lenders on financing agreements, review equity MOUs, engagement letters, and other related agreements, and align contracts with financing, security, and similar obligations.
  • SPVs and JVs: Support equity and joint-venture creation and maintenance, including reviewing, drafting, negotiating, and managing compliance with JV and LLC Agreements. 
  • Legal Templates and Playbooks; Business Enablement: Create templates and build and maintain risk matrices and playbooks for standard positions and customer-specific specifications and requirements, deliver training to operations personnel, leadership, estimators and business development on risk spotting and legal and compliance matters.
  • Claims Management: Support S&B USA’s claims management processes, including DRB/mediation/arbitration preparation and strategy, advise on claims and potential claims, including those related to differing site conditions, utilities/ROW conflicts, third-party interference, force majeure, delays/disruptions, etc., and support early dispute resolution.
  • Surety/Insurance/Credit: Support the structuring and negotiation, as appropriate, of General Agreements of Indemnity (GAIs) with surety partners, letters of credit, guarantees, and insurance programs.
  • Cross-Functional Partnering: Work collaboratively with, support informed decision-making by, and provide advice to internal stakeholders, including preconstruction, estimating, operations, concessions, finance, and tax personnel, at all levels of the organization in a fast-paced environment. Support and lead, as appropriate, process improvement and other projects.
  • Compliance: Promote, educate, and advise on compliance with all applicable laws, regulations, and policies, including government contracting and industry standards. Collaborate with cross-functional teams to develop, monitor, and implement compliance programs and training.
  • General: Perform other tasks and demonstrate a passion to learn new areas of the law and business, as assigned from time to time by the EVP, Chief Legal Officer and Chief Compliance Officer or the VP, Associate General Counsel.

What you bring:

  • Education:
    • Juris Doctor (JD) from an accredited law school.
    • Active membership in a state bar and, if not PA, must become licensed in PA (e.g., limited in-house license).
  • Experience:
    • Minimum of five years in a large law firm and/or in-house legal department with a contractor, developer, or concessionaire with a substantial concentration in construction/infrastructure (heavy civil, transportation, bridges/tunnels, P3, etc.).
  • Skills & Competencies:
    • Ability to provide clear, actionable legal advice.
    • Outstanding communication (written and oral), analytical, and interpersonal skills.
    • Commitment to teamwork, collaboration, and professionalism.
    • Ability to manage a significant volume of matters in a high-pressure environment and frequently reprioritize with good judgment and minimal direction.
    • Proactive, self-starter, with strong business acumen and sense of urgency and eagerness to take on new assignments.
    • Creative problem-solving skills and ability to propose multiple possible solutions consistent with overall business plans and strategies.

Work Environment and Benefits:

  • This permanent role is based in Pittsburgh PA in an office environment with adequate lighting and ventilation, and a normal range of temperature and noise level.

(e.g., papers, books, files and small parts, etc.). Moderate dexterity – regular application of basic skills (calculator, keyboard, hand tools, eye/hand coordination.
  • Work has periodic stress due to frequent goals and deadlines, and responsibility associated with the role.
