Senior Commercial Counsel, Healthcare

The Role
We're hiring a Senior Commercial Contracts Attorney to own and scale Cadence's contracting function across our health system partnerships and vendor relationships, ensuring our agreements support rapid growth while maintaining compliance with healthcare regulatory requirements.
This is a mission-critical role at the intersection of legal strategy and healthcare operations. You'll collaborate across sales, partnerships, clinical, finance, security, compliance, and operations teams to deliver work that directly enables Cadence to expand access to proactive, tech-enabled care for patients with chronic conditions.
What You’ll Do
- Own the full lifecycle of commercial contracts with health systems and other partners, including drafting, reviewing, negotiating, and closing, and serve as the final legal reviewer on non-standard and high-risk terms within your approval authority.
- Own all vendor contracts and third-party relationships, including SaaS agreements, service contracts, licensing agreements, data processing agreements, and other procurement-related contracts.
- Define the vendor review process with finance, security, and compliance, and set the operational, regulatory, and information security standards third parties must meet.
- Build and own contracting playbooks, templates, clause libraries, and standard negotiation positions that let the sales and procurement teams move quickly while protecting Cadence's interests.
- Manage the existing contract portfolio, including amendments, renewals, and partner and vendor inquiries, and build the obligation-tracking process that keeps commitments visible and met.
- Advise senior business leaders on healthcare regulatory risk in deal structures, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties, and state licensure requirements, and recommend how Cadence structures new deal types as its service lines and Medicare reimbursement frameworks change.
- Mentor sales, partnerships, and procurement teams on contract risk and playbook use, and set the escalation paths that determine when a deal needs legal review.
What You Need
- 8+ years of experience handling commercial contracts in-house and/or at a law firm, with a strong preference for experience in healthcare or life sciences. Experience on both the sell-side (customer/partner agreements) and buy-side (vendor/procurement contracts) is preferred.
- Working knowledge of federal and state healthcare regulations, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and clinical licensure and scope-of-practice requirements. Experience with HIPAA and privacy law is a plus. Experience contracting with payers is a plus.
- Experience building or improving contracting processes, including playbooks, clause libraries, or template suites that support a scaling organization.
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- A commercial attorney with healthcare experience who thrives in high-velocity, mission-driven environments and is comfortable owning the contracting function with minimal oversight.
- Fluency with AI research and productivity tools and the ability to evaluate AI-driven insights critically, distinguishing signal from noise in a fast-moving information environment.
Compensation
Our job titles may span more than one career level. The base salary for this role typically ranges between $220,000 – $245,000, depending on experience, skills, seniority, and business needs. In addition to base salary, this role may be eligible for equity as part of the total compensation package. Actual compensation may vary by location.
