The Position

We are seeking an exceptional, well-rounded corporate paralegal to play a critical role in driving the success and growth of North Road and TCG.  You will be a core member of the legal team, supporting both The Chernin Group, an investment firm, and North Road Company, a global independent content studio, reflecting their shared leadership. In this dynamic role, you will be responsible for managing diverse legal tasks, including maintaining all corporate records, capitalization tables and corporate governance statuses, tracking important legal timelines, ensuring compliance with legal requirements and company policies, and supporting the drafting and negotiation of key legal documents.   

This position offers an exciting opportunity to gain exposure to high-profile transactions and content creation, contributing directly to the success of TCG and North Road. Ideal candidates will have strong organizational and communication skills, attention to detail, and the ability to manage multiple tasks in a fast-paced environment. 

This role will be based in Playa Vista, CA and report to the Associate General Counsel at both TCG and North Road, with an expectation of working in-office at least four (4) days a week.

 
Objectives & Responsibilities

  • Manage the compilation, organization and maintenance of all corporate records for North Road, TCG, and their respective subsidiaries, including corporate filings, capitalization tables, director and officer slates, beneficial ownership information, entity information, minute books, closing sets, datarooms.
  • Handle the execution of transaction documents, including ensuring documents are complete and signatory authority is obtained.
  • Support the preparation, review and negotiation of legal documents, including non-disclosure agreements, organizational documents, board resolutions, consulting agreements, joinders, and shareholder consents.
  • Handle the formation, maintenance, foreign registrations and dissolution of entities, including maintaining related structure charts and entity information spreadsheets.
  • Track key legal timelines and ensure that internal teams and external counsel adhere to all necessary deadlines.
  • Work closely with internal legal teams to ensure compliance with company policies and regulatory requirements.
  • Act as a legal resource to North Road production companies and TCG portfolio companies on legal issues, corporate filings, governance and key information.
  • Ensure the timely filing of required legal documents with regulatory bodies, as applicable.
  • Handle all KYC and beneficial owner requests, including as required by the North Road production companies and TCG portfolio companies.
  • Assist with ad hoc requests on an as needed basis. 

 

Experience & Qualifications

  • 6+ years of experience as a corporate paralegal at a top-tier law firm with strong experience in corporate transactions or in a corporate legal department of an investment firm or operating company. 
  • Experience in production/content/media environments is highly preferred but not required.  
  • Highly organized with strict attention to detail and excellent follow-through.
  • Excellent verbal and communication skills required with a clear, concise, and effective communication style.   
  • Strong ability to manage multiple projects and tight deadlines with ease. 
  • Ability to be discreet and reliable in handling highly confidential information.
  • Ability to work effectively with internal teams and external stakeholders.
  • Proficient in using legal management tools, databases, and document management systems.
  • A bachelor’s degree in a related field is preferred, paralegal certification a plus.

Expected annual base salary range: $110,000 - $130,000

Actual base salary within that range will be determined by several components including but not limited to the individual's experience, skills, qualifications and job location. For roles located outside of the US, please disregard the posted salary bands as these roles will follow a separate compensation process based on local market comparables. Additional compensation: Base salary does not include other forms of compensation or benefits offered in connection with the advertised role.
