About the Role:

The Privacy Contracts Manager is a key member of Upgrade’s privacy legal team in San Francisco. The Privacy Contracts Manager will help drive the review and negotiation of data processing agreements (DPAs) and privacy-related clauses in commercial contracts, build effective cross-functional working relationships, work closely with internal and external stakeholders, and help track, manage, and report on privacy contract requests and metrics. As a member of privacy legal, you’re at the forefront of innovation and product iteration - we play a key role helping teams explore new ideas and realize goals. That means you’ll learn a lot and have ample opportunity to apply it. We’re also team-oriented and will eagerly share information and resources.

This is a hybrid role, in our San Francisco office on Tuesdays and Thursdays. This role reports to the Privacy Legal Director and will work closely with the broader legal team (commercial or contracts).


What You’ll Do:

  • Manage the end-to-end contract negotiation process for assigned privacy-related contracts, from initial drafting and review through negotiation and execution for contracts such as Data Processing Agreements (DPAs) and privacy addenda.
  • Review and negotiate standard privacy-related clauses in a variety of commercial contracts, including vendor agreements, NDAs, purchase and servicing agreements, and marketing and referral partnership agreements.
  • Manage contract modifications, extensions, and amendments related to privacy terms.
  • Maintain accurate documentation and records of privacy contracts.
  • Develop playbooks, checklists, and other privacy-related contract review processes and procedures to maximize efficiencies.
  • Collaborate with internal stakeholders, including legal, finance, vendor management, and business teams, to ensure privacy contracts meet business objectives.
  • Provide guidance and support to internal teams on privacy contract-related matters, including interpretation and clarification of terms and risk exposure related to privacy.
  • Ensure adherence to company policies, procedures, and legal requirements, including privacy regulations, during contract negotiation.
  • Build trust and manage conflicting demands from multiple business clients.


What We Look For:

  • Bachelor's degree 
  • 4+ years of experience as a Contracts Manager, with a focus on privacy or data protection, ideally in the fintech industry
  • Sound understanding of legal principles, contract law, and financial and other privacy regulations (e.g., GLBA, CCPA).
  • Proven track record of communicating complex privacy contract issues effectively and collaborating with internal and external stakeholders
  • Exceptional project management and time management acumen
  • Ability to adeptly handle multiple contracts concurrently while maintaining a focus on efficient prioritization
  • Excellent analytical and problem-solving skills with meticulous attention to detail
  • Eagerness for learning new knowledge in the ever-evolving fintech and privacy landscape, demonstrating a genuine curiosity for fintech innovations and contractual frameworks.
  • Ability to work independently, take ownership of tasks, and meet deadlines

The compensation range of this position in San Francisco, CA is USD $120,000- 140,000 annually plus equity and benefits. Within this range, an individual's base pay will be dependent on a variety of factors, including without limitation, job-related knowledge, skills, education, and experience.
