Contract: Stock Plan Administrator

This is an engagement through Upwork’s Hybrid Workforce Solutions (HWS) Team. Our Hybrid Workforce Solutions Team is a global group of professionals that support Upwork’s business. Our HWS team members are located all over the world.
Work/Project Scope:
● Administration of monthly RSU grants and releases, and terminations
● Help administer ESPP Program, including enrollment, contribution changes, purchases, limits and refunds
● Prepare monthly/quarterly reports
● Audit monthly grants awarded, and shares canceled
● Monitor daily option exercises and reconcile payments received
● Partner with Legal, HR, Payroll and 3rd-party vendors
● Maintain SOX compliance and controls and complete audit requests
● Prepare Section 16 filings (Forms 3, 4, & 5)
● Monitor trading windows and maintain preclearance list
● Identify gaps in processes
● Make sure timelines are followed and checklists are completed
● Maintain equity calendars
Must Haves (Required Skills):
● Experience in equity administration at a publicly traded company
● Excellent written and verbal communication skills
● Proficient with Google Docs, Sheets, Slides, Excel, Word, Power Point
● Must be meticulous, organized and very detail oriented
● Strong work ethic and positive attitude
● Ability to prioritize competing demands in a fast-paced environment
● Experience with Shareworks or Equity Edge platforms, a plus (Similar tools)
