Position Overview
The Contract Optimization Manager will lead contracting activities with a primary focus on efficiency, standardization, and process optimization. This role is responsible for drafting and negotiating customer, vendor and technology agreements while redesigning how contracts are managed across their lifecycle.
The Contract Optimization Manager will leverage legal technology platforms, including Harvey, ServiceNow, or equivalent systems, and apply agentic AI concepts and prompt engineering to reduce contract cycle times, minimize negotiation friction, and ensure consistent use of preferred items. This role partners closely with Legal, Procurement, Sales, IT, and Operations to enable scalable, efficient contracting practices.
Essential Responsibilities
- Draft, review, and negotiate customer, procurement and IT contracts, including software, SaaS, technology licensing, professional services agreements, statements of work, and vendor agreements.
- Oversee contract execution from intake through signature with a focus on speed, consistency, and alignment with preferred items.
- Maintain expert knowledge of preferred items, including approved vendors, contract terms, clauses, negotiation positions, fallback language, and escalation thresholds.
- Own, develop, maintain, and continuously improve contract playbooks, templates, clause libraries, and negotiation guidance to support efficient contracting.
- Identify inefficiencies in the contract lifecycle and implement process improvements that reduce manual effort, rework, and negotiation cycles.
- Leverage Harvey, ServiceNow, or equivalent legal and workflow platforms to support contract intake, drafting, review, approval, and lifecycle management.
- Design, test, and maintain agentic AI workflows for contract drafting, analysis, and negotiation support.
- Create and refine AI prompts that operationalize preferred items, risk tolerance, and contract-type-specific guidance.
- Ensure AI-generated outputs are accurate, consistent, and aligned with company standards and efficiency objectives.
- Partner with Legal Operations, Procurement, and IT to integrate AI-enabled contract processes into existing systems and workflows.
- Communicate and collaborate with business stakeholders to promote adoption of standardized and efficient contracting practices.
- Train stakeholders on contract playbooks, preferred items, and AI-enabled contracting workflows.
- Track and report on efficiency-related metrics, including contract cycle time, deviation rates from preferred items, and process adoption.
Qualifications
- Bachelor's degree in related area and/or equivalent combination of relevant education and professional experience or Paralegal certification and/or professional experience working as a paralegal for at least three (3) years
- 3+ years of experience drafting and negotiating customer, procurement and/or IT contracts.
- Hands-on experience with Harvey, ServiceNow, or equivalent legal, CLM, or workflow systems is required.
- Demonstrated familiarity with agentic AI concepts, including multi-step or automated workflows.
- Demonstrated experience with prompt engineering for contract drafting, review, or analysis.
- Proven experience developing contract templates, playbooks, or standardized negotiation frameworks.
- Strong understanding of contracting risk.
- Ability to translate legal judgment into scalable, repeatable processes that drive efficiency.
- Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
- Excellent written and verbal communication skills, with the ability to explain contract concepts and process improvements to non-legal stakeholders.
