Contracts Specialist (Term Position)

The Role

We are seeking a dynamic and detail-oriented Contracts Specialist to join our growing contracts team. This position offers an exceptional opportunity to play a pivotal role in supporting our sales and partner success teams within the fast-paced software industry. You will work directly with sales and partner success teams to draft, review, and negotiate complex commercial agreements, structure deals, and manage risk effectively. This role reports to the General Counsel and is ideal for someone who thrives in a collaborative, fast-moving environment where contract expertise directly enables business growth.

What You Do

  • Review, negotiate, and draft diverse commercial agreements, including master software and services agreements, strategic partnership agreements, vendor contracts, non-disclosure agreements, and terms of use, all while ensuring alignment with business objectives and risk tolerance;
  • Review and support submissions for requests for proposal (RFPs) by reviewing complex terms and conditions, identifying potential risks, and collaborating with business development teams to craft competitive and legally sound proposals;
  • Conduct comprehensive reviews of existing contracts to assess compliance, identify opportunities for improvement, and ensure terms remain favourable and aligned with current business practices;
  • From time to time, conduct legal research and provide practical, business-oriented counsel across a broad spectrum of legal matters, including intellectual property protection, employment law, regulatory compliance, data privacy, and corporate governance; and
  • Contribute to special projects within the legal department and across the organization, demonstrating flexibility and a collaborative mindset.

What You Bring

  • Juris Doctor (J.D.) or equivalent law degree from an accredited institution with 1-3 years of legal experience; OR 2-4 years of experience negotiating contracts in the commercial agreements in the software/technology industry.
  • Exceptional organizational skills with proven ability to manage competing priorities, meet tight deadlines, and handle multiple projects simultaneously in a fast-paced environment;
  • Strong business acumen, excellent written and verbal communication skills, and ability to build collaborative relationships with stakeholders at all levels.
  • Preferred Qualifications
  • Experience working with U.S.-based clients or customers, particularly in navigating U.S. commercial law and regulatory requirements; and
  • Prior experience providing legal support to government entities, public safety agencies, or highly regulated industries.
  • Highly organized, efficient, and able to manage multiple priorities in a fast-paced environment.

This position requires a security clearance from the Government of Canada. Candidates must be legally authorized to work in Canada and must successfully obtain and maintain a Reliability security clearance.
