Position Summary

We are hiring a Commercial Counsel to own the day-to-day commercial contracting function across Yes Energy’s full product portfolio. You will be the primary legal point of contact for the revenue organization, responsible for reviewing, drafting, and negotiating the agreements that drive the company's growth. You will also manage two contract administrators and work closely with the Director of Revenue Operations to keep deals moving efficiently.

This is a hands-on role with real ownership. You will be instrumental in building the contracting infrastructure (templates, playbooks, and processes) that allows Yes Energy to scale its commercial operations across multiple product lines brought together through recent acquisitions. You will work directly with sales, customer success, and product teams, serving as a trusted partner who accelerates deals rather than slowing them down.

  • Reporting To: Director of Revenue Operations

Primary Responsibilities

Commercial Contracting & Deal Execution

  • Draft, review, and negotiate the full range of revenue-generating commercial agreements across Yes Energy’s portfolio, including SaaS subscription agreements, data licensing agreements, master services agreements, vendor agreements, and procurement contracts.
  • Serve as the primary legal advisor to sales and revenue operations teams, delivering practical, business-focused guidance that accelerates and closes deals efficiently.
  • Harmonize contracting approaches and frameworks across legacy and newly acquired product lines brought together through recent corporate transactions.

Infrastructure & Operational Excellence

  • Build, update, and maintain a robust commercial contracting infrastructure, including standardized templates, a negotiation playbook with pre-approved fallback positions, and automated workflows to reduce deal cycle times.
  • Train internal stakeholders on contract terms, risk boundaries, and self-service processes to scale legal literacy and eliminate organizational bottlenecks.
  • Identify and scale data privacy and protection workflows within commercial agreements, addressing data processing addenda (DPAs) and compliance frameworks (e.g., CCPA, GDPR).

Leadership & Cross-Functional Alignment

  • Manage, mentor, and facilitate growth for two senior contract administrators by establishing clear workflows, dividing responsibilities, and ensuring consistent execution across the contracting desk.
  • Collaborate cross-functionally with Product, Finance, Customer Success, and Compliance teams to resolve contractual and strategic hurdles.
  • Exercise sound judgment to independently solve complex contract challenges, strategically escalating matters requiring senior legal oversight to outside counsel when necessary.

Minimum Qualifications

  • Education: Juris Doctor (J.D.) degree from an accredited law school.
  • Bar Standing: Active membership and in good standing with at least one U.S. state bar (Colorado bar preferred).
  • Experience: 3–6 years of commercial drafting and negotiation experience, with a heavy emphasis on revenue-generating contracts, SaaS subscriptions, technology transactions, and data licensing.
  • Environment: Demonstrated comfort working autonomously in a fast-paced, high-growth environment with a strong sense of personal accountability.
  • Execution: Excellent project management and organizational skills, with a proven track record of handling a high volume of concurrent deals on tight timelines.

Key Competencies & Preferred Qualifications

  • Contract Management & Execution (Domain Knowledge): Deep expertise in structuring high-stakes B2B SaaS and technology agreements; experience navigating post-acquisition integration or PE-backed environments is a distinct plus.
  • Stakeholder Focus (Business & Strategic): Exceptional capability to serve as an internal business partner, balancing commercial sales momentum with rigorous risk safeguards while maintaining high legal literacy across departments.
  • Problem Solving (Business & Strategic): Strong analytical thinking and structured judgment to break down complex contract disputes and develop practical, scalable solutions.
  • Effective Communication (People & Culture): Clear, concise communication style capable of translating complex legal liabilities into plain language for non-lawyers and maintaining authority with sophisticated counterparties.
  • Systems Thinking (Organization & Operational): A keen understanding of how contractual frameworks intersect with product delivery, legal technology tools (e.g., CLM platforms), and data governance workflows.
  • Energy Industry Knowledge (Energy Industry Knowledge): Familiarity or experience with the wholesale electric power industry, utilities, or data analytics services is a major plus.
