Sr. Corporate Counsel

Summary
The Sr. Corporate Counsel is responsible for providing legal advice and support to Zevia on a wide range of corporate issues and commercial transactions in support of business activities and general legal matters.
What You’ll Do

- Handle commercial transactions including negotiating company contracts and drafting and reviewing various agreements and other legal documents.
- Work cross-functionally with business partners throughout the company on a wide variety of corporate and commercial matters and provide accurate and timely legal advice.
- Assist with the development of company policies on industry-specific issues, corporate governance matters, or regulatory affairs, including the mitigation of legal risks.
- Assist with the design and delivery of legal training to the business.
- Research and interpret existing laws, regulations, and anticipated changes to laws to guide informed decisions and reduce risk.
- Ensure compliance with all laws and regulations that apply to the business.
- Represent Zevia in litigation, mediation, and other dispute matters, as necessary.
- Communicate with and manage outside counsel regarding issues requiring specialized legal input.
- Assist with the review and preparation of SEC periodic filings, including 10-Ks, 10-Qs, 8-Ks, etc., and NYSE compliance.
- Stay up to date with changes to legislation, particularly in relation to laws, rules, and regulations that directly affect the company and its business and the beverage industry.
- Oversee the company’s intellectual property portfolio and ensure proper protection of assets.
- Work cross-functionally with legal team members, including collaborating with the different teams on important, cross-functional projects and matters.
- Review marketing materials and campaigns for the company prior to distribution.
- Assist the quality team in regulatory review of SKUs and packaging.
What We're Looking For
- Juris Doctor (J.D.) degree from an accredited law school and admission to the bar of at least one state and in good standing.
- Eight (8) years of law firm and/or in-house experience with understanding of a corporate legal department in a public company.
- Direct experience dealing with senior management.
- Eight (8)+ years of experience with IP law, securities law and corporate governance.
- Experience with privacy law and litigation.
- Strong contract negotiation and drafting skills.
- Superior verbal and written communication skills; capacity to explain complex legal concerns and matters to non-legal colleagues.
- Strong proficiency with Microsoft Office products including Word, Excel and PowerPoint.
- Proficiency in legal research and analysis.
- Problem solving abilities– identifies and solves for difficult to complex problems and offers effective solutions.
- High ethical standards and professional integrity.
- Analytical focus – evaluate documents, interpret meaning and communicate data/trends appropriately.
- Developing relationships and interpersonal savvy – building rapport, cultivating relationships and driving collaboration across broadly defined business teams.
- Highly organized.
- Detail oriented.
- Motivated, fast-learner, and ability to work well within a team or individually in a fast-paced business environment with tight deadlines.
- Ability to handle highly confidential and sensitive information
- Ability to simultaneously handle multiple projects and manage them to successful completion.

This position does not currently have supervisory responsibilities
Work Environment
This job operates in a professional office environment. This role routinely involves standard office equipment such as computers, phones, photocopiers, filing cabinets, and fax machines.

Our compensation package includes a base pay range + bonus + equity
Pay Range
$160,000 - $185,000 USD
