We’re seeking an experienced and strategic Assistant General Counsel to join Zip’s Legal team, serving as a senior subject-matter expert across our corporate, financing, securities and strategic transaction activities. This is a highly visible role partnering with executive leadership, Finance, Group Treasury, Investor Relations, Strategy and cross-functional stakeholders to provide practical legal guidance that enables business growth while appropriately managing legal risk.

As a trusted legal advisor, you’ll play a lead role in sophisticated corporate transactions, advise on securities and disclosure matters, support complex financing initiatives, and help shape scalable legal processes that support Zip’s continued growth. You’ll combine exceptional legal judgment with strong commercial acumen to navigate complex business challenges in a fast-paced, collaborative environment.

This is a remote-first role, with occasional in-person team gatherings and the option to work from our Manhattan office.

Interesting problems you’ll get to solve

  • Primary legal lead for mergers, acquisitions, divestitures, strategic partnerships, and other corporate development initiatives from transaction structuring through post-closing integration.
  • Primary legal lead for complex financing activities, including warehouse financing arrangements, receivables financing structures, securitizations, credit facilities, capital markets transactions, guarantees, and liquidity initiatives.
  • Advise on U.S. securities law compliance and public company disclosure obligations, including periodic reporting, registration statements, and other filings applicable to public company or foreign private issuer frameworks.
  • Support the Company's corporate governance framework by preparing Board and committee materials, resolutions, governance policies, and related corporate records, while advising on governance matters and evolving best practices.
  • Partner with executive leadership to provide strategic legal counsel on securities laws, insider trading compliance, corporate governance, and public company disclosure requirements.
  • Coordinate cross-functional stakeholders and manage outside counsel throughout all phases of strategic transactions while driving efficient execution.
  • Identify legal risks and develop practical, commercially focused solutions that enable business objectives while appropriately managing legal risk.
  • Develop scalable legal processes, templates, governance practices, and operational efficiencies that support a growing and evolving legal function.
  • Leverage AI-assisted legal tools to enhance legal workflows, evaluate AI-enabled work products, and advise stakeholders on AI governance, privacy considerations, and legal risks associated with emerging technologies.
  • Mentor junior legal professionals and contribute to the continued development of a collaborative, high-performing legal team.

What you’ll bring to the team 

  • Juris Doctor (J.D.) from an accredited law school and active membership in at least one U.S. state bar in good standing.
  • 12+ years of experience in corporate law, including significant experience at a nationally recognized law firm and/or a sophisticated in-house legal department.
  • Extensive M&A experience leading complex mergers, acquisitions, divestitures, and strategic transactions from signing through post-closing integration.
  • Deep finance expertise supporting structured finance and corporate finance transactions, including warehouse financing, receivables financing, securitizations, credit facilities, and capital markets transactions.
  • Strong securities law knowledge, including experience supporting public company or foreign private issuer reporting frameworks and advising on disclosure obligations, Form 20-F, Form 6-K, earnings releases, and investor communications.
  • Executive partnership with a demonstrated ability to advise senior leadership on complex legal, governance, and strategic business matters.
  • AI fluency with the ability to leverage and critically evaluate AI-generated legal work product, understand AI governance and privacy considerations, identify legal risks associated with responsible AI use, and apply sound judgment when incorporating AI into legal workflows.
  • Commercial judgment with a proven ability to independently manage multiple high-priority matters while balancing legal risk with business objectives.
  • Cross-functional leadership with experience managing outside counsel and partnering effectively across Legal, Finance, Treasury, Investor Relations, and Corporate Development.
  • Operational excellence demonstrated through improving legal operations, governance processes, templates, or scalable legal frameworks within a fast-paced environment.
  • Preferred: Experience as in-house counsel at a public fintech, financial services, or payments company, or equivalent advisory experience at a top-tier law firm.

Zip is committed to a straightforward and transparent pay structure. The actual base salary will be determined by various individualized factors, including job-related knowledge, skills, experience, location, internal equity, as well as other objective business considerations.

The annual base Pay Range for this position is $248k – $260k. This range reflects our US national compensation band (USN). Additional premium percentages may apply based on our tiered premium strategy.

Subject to those same considerations, the total compensation package for this position may also include other elements, including a bonus and/or equity awards, in addition to a full range of medical, financial, and/or other benefits.

If hired, employees will be in an "at-will" position and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation or benefit program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
