Job Summary
AEG, Inc. is seeking a detail-oriented and organized temporary Legal Document Specialist to support our legal team with a focused document management initiative. The primary responsibility of this role is to review, categorize, accurately label, and upload legal contracts and corporate minute book documents into our document management system.
The ideal candidate will have familiarity with common legal document types, strong attention to detail, and the ability to apply consistent naming conventions and metadata tagging to ensure documents are properly organized and retrievable. This is a project-based position with a defined scope and timeline.
Essential Functions
Document Review & Classification:
- Scan and upload physical legal documents to identify document type and applicable parties
- Classify documents into the correct category, including but not limited to:
- Contracts & Agreements (e.g., service agreements, NDAs, MSAs, lease agreements, vendor contracts, employment agreements).
- Corporate Minute Book Documents (e.g., articles of incorporation, bylaws, board resolutions, shareholder meeting minutes, annual resolutions, share certificates, registers).
- Regulatory & Compliance Filings (e.g., annual returns, registered agent filings, certificates of good standing).
- Ancillary Legal Documents (e.g., powers of attorney, amendments, assignments, consents, waivers).
Document Naming & Labeling
- Apply standardized file naming conventions established by the legal team to every document.
- Extract and record key identifying information from each document, including:
- Document type and subtype
- Party name(s) / entity name(s)
- Expiration or renewal date (where applicable)
- Document status (e.g., executed, draft, expired, superseded)
- Jurisdiction or governing law
- Signatory names and titles (for executed documents)
- Flag documents with missing, illegible, or ambiguous information for attorney review.
Uploading & Indexing
- Upload renamed documents to the firm's document management system (DMS) or designated platform (e.g., DocuSign / SharePoint).
- Apply correct metadata fields, folder structures, and tags upon upload per established protocols.
- Maintain an upload log or tracking spreadsheet documenting each document processed, its assigned name, location, and status.
- Conduct basic quality control checks to confirm files are properly saved, correctly named, and fully readable after upload.
Communication & Escalation
- Communicate regularly with the supervising attorney or office manager regarding project progress, questions, and flagged items.
- Participate in brief onboarding and training on naming conventions, document categories, and the DMS platform.
- Escalate any documents that appear to be sensitive, incomplete, privileged, or outside the defined project scope.
Required Qualifications
- High School Diploma or its equivalency (BA/BS Degree Preferred).
- 2-4 years experience in legal, administrative, records management, or document control environment preferred.
- Experience working in a law firm, legal department, or corporate secretary function.
- Familiarity with corporate minute book maintenance and corporate governance document types.
- Prior experience with document management systems such as iManage, DocuSign, or similar platforms.
- Knowledge of contract lifecycle management concepts (effective dates, expiration, amendments, renewals).
- Demonstrated ability to identify and distinguish common legal document types (contracts, corporate records, filings, etc.).
- Proficiency with Microsoft Office Suite (Word, Excel) and comfort working in document management or cloud storage platforms.
- Exceptional attention to detail and accuracy, particularly when handling large volumes of data-entry and file management.
- Strong organizational skills with the ability to manage and prioritize a high volume of documents efficiently.
- Ability to handle confidential and privileged information with discretion and professionalism.
- Paralegal certificate or formal legal studies a plus.
Pay Scale: $25.00 - $28.00 per hour
Bonus: This position is not eligible for a bonus under the current bonus plan requirements.
Benefits: You will be eligible for medical insurance benefits in accordance with the terms of the Company's benefit plan. Currently, full time employees are eligible for these benefits on the first day of
employment.
