Position Summary:
This role manages the organization's legal affairs by ensuring compliance with laws and regulations while minimizing risk and safeguarding business interests. It provides legal guidance on transactions, policies, and compliance matters, as well as reviewing contracts, documents, and communications. By monitoring legal and regulatory developments, this role advises leadership on potential impacts and necessary adjustments. Additionally, it oversees or supports litigation efforts, collaborating with outside counsel as needed.

What you will do:

Legal Compliance and Risk Mitigation:

•    Monitor changes in laws and regulations to assess their impact on the organization’s operations
•    Develop and implement strategies to minimize legal and regulatory risks
•    Conduct regular legal audits and compliance assessments across various departments

Legal Guidance and Advisory Support:

•    Advise management on legal issues related to business transactions and corporate strategies
•    Offer proactive counsel on potential legal implications of new policies or business initiatives
•    Collaborate with key stakeholders to ensure legal considerations are incorporated into decision-making processes

Review and Manage Legal Documentation: 

•    Draft, review, and negotiate contracts, ensuring terms align with organizational goals and legal standards
•    Review company communications, press releases, and filings to ensure legal accuracy and compliance
•    Ensure all documents and agreements undergo legal review before execution to protect the organization’s interests

Client Contract Review and Legal Compliance:
•    Review client contracts to ensure compliance with state and federal laws, aligning terms with the company’s compliance strategy and regulatory requirements
•    Identify and mitigate legal and compliance risks within contracts, ensuring language reflects company policies and evolving PBM industry mandates
•    Support audits and compliance reviews, providing insights and recommendations to leadership and the Board on legal risks and regulatory considerations pertaining to the PBM industry

Oversee Litigation and External Counsel Coordination: 

•    Lead or support the defense of the organization in lawsuits and claims
•    Coordinate with outside counsel for specialized legal matters and litigation
•    Manage litigation strategy, including settlement negotiations and preparing the organization for trial when necessary


What you need:
•    Juris Doctor (J.D.) from an accredited law school
•    Active license to practice law in the relevant jurisdiction(s)
•    Minimum of 15 years of legal experience within healthcare required and at least 5 years in a senior leadership role (e.g., as in-house counsel or managing legal teams). PBM experience preferred
•    Extensive experience in corporate law, business transactions, compliance, and risk management
•    Proven track record of managing complex legal issues, including litigation, regulatory matters, and corporate governance
•    Strong knowledge of applicable local, state, and federal laws and regulations
•    Expertise in drafting and reviewing contracts, business agreements, and legal documents
•    Ability to provide strategic legal advice, balancing legal risk with business objectives
•    Experience in corporate governance, compliance programs, and managing legal and regulatory audits
•    Ability to interact effectively with senior management and stakeholders, providing clear and actionable legal advice
•    Excellent communication and presentation skills, with the ability to simplify complex legal concepts for non-legal audiences
•    Strong negotiation and conflict resolution skills
•    High ethical standards, integrity, and professionalism
•    Strong analytical and problem-solving abilities
