
Funds Counsel, Private Debt

POSITION SUMMARY:
Audax Private Debt (“Audax”) seeks a private debt fund, separate account and alternative investments attorney for a role combining legal and operations/business responsibilities to represent Audax in connection with its future growth strategies. The successful candidate must be able to be an effective thought partner and value-added team member to assist the business’ various business management functions, including the investor relations stakeholders and the firm’s limited partners.
RESPONSIBILITIES:
- Collaborate alongside the firm’s stakeholders on strategic initiatives, in a hybrid role that spans both business and legal functions, including focus on future product launches
- Identify new viable investment structures and work with outside counsel to formulate elegant structural solutions, based on the needs of the firm and investors
- Work alongside our Investor Relations team to formulate terms and product positioning
- Collaborate with internal teams across Finance, Operations, Compliance, Legal, Investor Relations and Marketing, acting at the intersection of those functional areas
- Over time, negotiate directly with lead institutional investors, to enhance the firm’s relationships and long-term partnerships
- Oversee new fund document drafting
- Coordinate regular updates to existing fund documents
- Respond to fund/account-related questions from Investor Relations and Finance Teams
- Draft and review placement agent agreements
- Coordinate limited partner and third-party investor co-investments
REQUIREMENTS/QUALIFICATIONS:
- Law degree required
- Ability to practice in-house in a position based in New York
- At least 3-5+ years of relevant investment, securities, separate account and funds law experience required
- Experience interacting directly with institutional limited partners and investors preferred
- Experience with a range of private debt investment structures and products (private funds, separate accounts, funds of one, ’40 Act funds)
- Expertise in private funds’ regulation by the SEC and relevant transaction documentation
- Exceptional analytical, writing and speaking skills, as well as advanced organizational and planning skills
- Strong interpersonal skills and ability to work with various levels of personnel
- Recent experience in a major private debt firm, private equity firm, or a large law firm is required

ADDITIONAL NOTICE:
For New York City only: The base salary range for this position is $250,000 - $300,000. The base salary range represents the estimated low and high end for this position at the time of this posting. Consistent with applicable law, compensation may vary and will be determined based on but not limited to, the skills, qualifications, and experience of the applicant along with the requirements of the position, and Audax reserves the right to modify this pay range at any time. An employee may also be eligible for annual discretionary incentive compensation based on performance.
