Blue Moon is a junior mining company advancing 5 brownfield polymetallic projects, including the Nussir copper-gold-silver project in Norway, the NSG copper-zinc-gold-silver project in Norway, the Blue Moon zinc-gold-silver-copper project in the United States, , the Springer tungsten-molybdenum project in the United States and the Apex germanium-gallium-copper in the United States.
With operations across multiple jurisdictions, we are seeking a highly organized and detail-oriented Corporate Secretary (Paralegal) to support our Board of Directors and legal function.
Position Summary
The Corporate Secretary (Paralegal) plays a critical role in supporting corporate governance, board administration, and legal operations. This position is responsible for coordinating board activities, maintaining corporate records, and reviewing and managing contracts to ensure compliance with applicable laws, regulations, and internal policies.
Key Responsibilities
Board & Corporate Governance Support
- Coordinate all Board of Directors and committee meetings, including scheduling, agendas, and materials distribution
- Prepare and maintain accurate meeting minutes, resolutions, and corporate records
- Ensure compliance with corporate governance requirements and applicable regulatory obligations
- Maintain corporate minute books, entity records, and governance documentation across jurisdictions
- Support onboarding and ongoing training of Board members
- Coordinate and liaise with external counsel and internally to support timely disclosures
Contract Review & Legal Support
- Review, draft, and manage a wide range of contracts (e.g., vendor agreements, service contracts, NDAs)
- Ensure contracts align with company policies, risk tolerance, and regulatory requirements
- Track contract lifecycle, obligations, renewals, and key dates
- Liaise with internal stakeholders and external counsel on legal matters
- Assist in developing and maintaining contract templates and standard terms
Compliance & Risk Management
- Monitor changes in relevant legislation and regulatory requirements impacting the business
- Support corporate compliance programs, including ethics, anti-corruption, and disclosure obligations
- Assist with audits, due diligence, and regulatory filings
- Maintain confidentiality and manage sensitive information with discretion
Qualifications & Experience
- Diploma or degree in Paralegal Studies, Law, or a related field
- 5+ years of experience in a corporate secretary, paralegal, or legal support role (preferably in mining, natural resources, or a multinational environment)
- Strong understanding of corporate governance practices and regulatory frameworks
- Experience reviewing and managing commercial contracts
- Familiarity with multi-jurisdictional corporate structures, and Canadian and US exchanges, disclosures and requirements, is an asset
