Location: US - Remote

We’re looking for a strategic and business-oriented Corporate Counsel to join our legal team and support a wide range of corporate legal functions. In this role, you’ll lead key initiatives across governance, financings, securities compliance, and strategic transactions, while partnering closely with various teams across the company.

This is a high-impact role for an attorney who thrives in a dynamic, fast-paced environment and is looking to help shape the future of a rapidly growing technology company.

What You'll Do

  • Advise on a broad spectrum of corporate legal matters, including corporate governance, board and stockholder matters, and subsidiary management.
  • Manage and support equity and debt financings, including due diligence, negotiation, and execution.
  • Partner cross-functionally to support equity compensation strategy and administration, including oversight of equity plans and grants.
  • Support M&A and other strategic transactions, including deal structuring, due diligence, negotiation, and post-closing integration.
  • Collaborate with HR and Finance to advise on employment, compensation, and benefits matters.
  • Provide legal guidance on investor relations and securities law matters.
  • Support risk management, insurance, and regulatory compliance initiatives across the business.
  • Identify areas for process improvement and help build scalable legal processes and policies that align with business goals.

What You’ll Need

  • J.D. degree and membership in good standing with at least one U.S. state bar
  • 3-6+ years of legal experience at a law firm counseling high-growth technology companies and/or in-house at a technology company
  • Experience in corporate governance, equity and debt financings, M&A, and securities compliance
  • Deep knowledge of equity compensation structures
  • Exceptional communication and interpersonal skills with a strong ability to influence and collaborate with stakeholders at all levels
  • A pragmatic and solution-oriented mindset with a high degree of business acumen and risk judgment
  • Ability to operate independently in a fast-paced, ever-changing environment with a strong sense of ownership and accountability

You have an edge if you have:

  • Experience with fundraising efforts, IPO experience, or have worked at a publicly traded company
  • Experience working at a scaling, global tech company
  • Administration and experience working with platforms like Carta

Compensation

We offer competitive compensation packages commensurate with experience, including salary, equity, and where applicable, performance-based pay. Our Talent Acquisition Team can answer questions around dbt Lab’s total rewards during your interview process. In select locations (including Boston, Chicago, Denver, Los Angeles, Philadelphia, New York City, San Francisco, Washington, DC, and Seattle), an alternate range may apply, as specified below.

  • The typical starting salary range for this role is:

$172,000 - $207,900 USD

  • The typical starting salary range for this role in the select locations listed is:

$191,000 - $231,000 USD
