About the Role
The Corporate Counsel role will support Figure’s corporate, finance and capital markets functions. Our Legal team plays a central role in Figure’s hyper growth and the realization of our mission of leveraging blockchain to transform financial services. This role will be EST hours.
What You’ll Do
- Provide advice and counsel related to corporate governance, investor relations and equity related matters
- Draft, review, negotiate and interpret commercial agreements to support Figure’s businesses, including software/technology agreements, customer and vendor agreements, licensing agreements, services agreements, confidentiality agreements, and other complex commercial agreements
- Assist with corporate and securities transactions, including capital markets transactions, M&A (or related) transactions, partnerships and financing transactions.
- Draft Current Reports on Form 8-K, as necessary, including working with internal and external resources to finalize and file
- Review periodic reports (10-Qs and 10-Ks), particularly with regard to Regulation S-K compliance
- Support in annual review of committee charters and corporate and Board policies, annual board and committee self-evaluation process, and director independence assessment
- Help build scalable and effective processes for legal review and launch of new products
- Manage Figure’s intellectual property licenses
What We Look For
- J.D. and membership with at least one state bar
- 3+ years combined relevant experience in a top law firm, government agency, and/or in-house legal team
- Experience with capital markets transactions is a plus
- Strong communication and research skills
- Self-starter who will take ownership of projects
- Strong record of hands-on contract drafting and negotiations
- Sound and practical business judgment
- Ability to work EST hours
Salary
- Compensation Range: $166,980 - $208,725/yr
- 25% annual bonus target, paid quarterly
- Equity stock options package
- This is the compensation range for the United States, actual compensation may vary based on individual candidate experience, location, or evolving business needs
