Senior Commercial Counsel (Contracts & Privacy)

Location: Soho, NYC (4 days in office)

Reports to: President & General Counsel

The Mission

At Flowcode, we are building a data platform that powers real world experiences for the world’s largest brands. With customers spanning over 70% of the F500, Flowcode enables personalized consumer experiences delivered through real world touchpoints, instantly connecting fans to brands IRL.

We are looking for a Senior Commercial Counsel to lead our contract and privacy functions. You are equal parts lawyer and business builder – someone who doesn't just "redline" but strategically designs the contract and privacy frameworks that allow us to scale. You will sit at the critical intersection of revenue generation (deals) and trust (privacy). You will be the direct legal and compliance contact for our premium enterprise clients and a trusted partner for the GTM, product and operations teams.

About the Role

This is a high-impact role for a lawyer who loves the adrenaline of closing deals but possesses the deep intellectual curiosity required for complex privacy compliance and how it intersects with product design. You will serve as a primary legal partner to our Sales, Customer Success, Operations and Product teams, ensuring that as we grow at lightning speed, we do so responsibly and securely.

What You Will Do

  • Draft and Negotiate: Lead the review, drafting, and negotiation of complex SaaS agreements, Master Services Agreements (MSAs), and strategic partnership deals with Fortune 500 clients.
  • Scale Processes: Move beyond "one-off" reviews. Build and maintain playbooks, templates, and clause libraries to accelerate deal velocity without sacrificing protection.
  • Business Partnership: Act as a strategic advisor to Sales, helping them structure deals that are creative, profitable, and compliant.
  • Vendor Management: Review and negotiate inbound vendor agreements, ensuring our supply chain meets our high standards for security and privacy.
  • Data Governance: Spearhead our privacy compliance program, navigating the evolving landscape of GDPR, CCPA/CPRA, VCDPA, and other global privacy regulations.
  • Privacy by Design: Embed yourself with the Product and Engineering teams early in the development lifecycle to conduct Privacy Impact Assessments (PIAs) and ensure new features are compliant before they launch.
  • Trust & Safety: Review and manage Data Processing Agreements (DPAs) and help answer customer privacy and security questionnaires, serving as the external face of Flowcode’s commitment to data privacy.
  • Policy Architect: Continually update and refine our external Privacy Policies and internal data handling procedures.

Who You Are

  • The Practical Expert: You have 4–6+ years of legal experience, with a significant portion spent in-house at a high-growth technology or SaaS company.
  • The Deal Closer: You have negotiated enterprise-level SaaS contracts and know exactly when to hold firm and when to find a creative compromise.
  • Business Builder: You are energized by the intellectual and operational challenges of building a business in a new category.
  • The Privacy Expert: You have a working knowledge of US and EU privacy laws and their applicability in a SaaS context. 
  • The Communicator: You can explain complex "legalese" to a Sales Director or a Software Engineer in plain English. You are approachable and collaborative.
  • The Self-Starter: You are proactive by nature and thrive in ambiguity. You don’t wait for instructions; you identify gaps and build solutions.

Qualifications

  • J.D. from a top tier law school.
  • Admission to NY State Bar.
  • Outstanding record of academic achievement.
  • Demonstrated experience with SaaS contracting and product counseling.
  • Bonus points for strong understanding of the ad-tech or marketing-tech ecosystem and big law firm experience.

The compensation range for this role is $215,000 to $250,000 plus equity and benefits.
