Corporate Counsel
SUMMARY
We are seeking an in-house Counsel to join our organization. This individual will be the focal point for all legal matters, focusing primarily on managing, drafting, reviewing, and negotiating a wide variety of commercial agreements, with an emphasis on supplier, customer and logistics-related contracts. You’ll work with C-Suite and cross-functionally with teams in sales, procurement, operations and finance to ensure our legal processes support business objectives while maintaining compliance and minimizing risk. There is opportunity for this individual to act as legal advisor during business strategy and strategy development sessions, providing input from a legal standpoint on potential issues and opportunities. The ideal candidate will have 3–6 years of relevant legal experience, including law firm or in-house counsel experience, with a strong emphasis on contract law and corporate legal matters.
RESPONSIBILITIES
- Draft, review, and negotiate a variety of contracts, including:
- Supply and distribution agreements
- Customer sales contracts
- Procurement/vendor agreements
- Licensing and technology contracts
- Logistics and warehousing agreements
- NDAs, MSAs, and SOWs
- Collaborate cross-functionally with all departments including procurement and sales teams to support legal needs, ensuring supplier and customer contracts align with business, pricing, and compliance needs.
- Maintain and improve internal contract templates, playbooks, and review processes to increase efficiency and reduce cycle times.
- Advise internal stakeholders on contract interpretation, obligations, and risk exposure.
- Monitor and support compliance with applicable trade laws, export controls, and industry-specific regulatory requirements (e.g., RoHS, REACH, conflict minerals, ITAR/EAR).
- Assist with general corporate legal matters, including governance, insurance, IP protection, and dispute resolution.
REQUIREMENTS
- J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
- 3–6 years of legal experience in a law firm and/or in-house legal department, ideally time spent serving distribution, supply chain or manufacturing clients.
- Strong knowledge of commercial contract law and contract negotiation.
- Strong background in commercial contract drafting and negotiation.
- Excellent understanding of UCC-related terms, risk allocation, indemnity, and warranties.
- Ability to explain complex legal issues clearly to non-legal teams.
PREFERRED SKILLS
- Prior experience in a tech, distribution or B2B-focused business.
- Familiarity with contract lifecycle management (CLM) systems.
- Exposure to data privacy and regulatory frameworks (e.g., GDPR, CCPA) is a plus.
- Familiarity with export controls and international commercial terms (Incoterms, ITAR, EAR).
- Experience with contract lifecycle management (CLM) tools or ERP-integrated legal workflows.
- Working knowledge of data privacy and cyber-related contract considerations.
