
Corporate Counsel
Harbor is seeking a Corporate Counsel to join our growing internal legal team! Comprised of a highly talented team of professionals, our internal legal group is integral to Harbor’s client service and success. Our employees truly are our greatest competitive advantage. The legal team works with client engagement and service delivery to negotiate with clients and partners and further advises on all legal matters for our growing and industry-leading company.
This role is fully remote, with little to no travel expected. The chosen applicant may reside anywhere in the Eastern, Central, Mountain or Pacific timezones in the United States or Canada.
Responsibilities:
- Draft, review, and negotiate a range of contracts, including (i) with clients, partners, contractors and vendors, and (ii) with respect to professional services, software licensing, confidentiality, data processing, and referral and reselling arrangements.
- Provide counsel and problem-solving, strategic advice to members of the internal leadership, client engagement and service delivery teams on legal and commercial issues, including in the context of client negotiations, privacy and security, employment, corporate development and disputes.
- Manage a portfolio of ongoing negotiations, adjusting priorities in a transparent manner and ensuring outcomes align with company goals, legal requirements and risk mitigation strategies.
- Draft correspondence with external parties regarding contract negotiations, compliance, insurance and other legal and commercial matters.
- Assist in managing an internal database of existing contracts and use internal systems and technology to communicate key terms and contractual risks and obligations to internal stakeholders.
- Develop and administer standard agreement templates, including non-disclosure agreements, service agreements, statements of work, change orders, software-as-a-service agreements and data processing agreements.
- Act as a subject matter expert with respect to internal legal processes, support the integration of newly-acquired companies into such processes, and proactively propose improvements to such processes.
- Work closely with the Talent team (regarding Harbor personnel) and the Information Security team (regarding internal and external privacy, security and risk assessments) within Harbor.
- Communicate in a clear and concise manner with well-reasoned business and legal recommendations and with a view to facilitating informed decision-making by internal stakeholders.
- Collaborate with internal and external stakeholders in Australia, Canada, the European Union, the United Kingdom, the United States and elsewhere.
- Undertake other reasonable duties and responsibilities as assigned.
Qualifications:
- Juris Doctor (JD).
- Member in good standing of a State Bar or Provincial Law Society.
- 2 to 4 years of experience at a leading law firm preferred - experience as in-house counsel for an operating company also considered.
- Experience drafting, reviewing and negotiating complex agreements, with a preference for experience with US and UK agreements.
- Experience with professional services and software licensing agreements is a plus.
- Working knowledge of data privacy and data security laws (such as GDPR) is a plus.
- Strong drafting and negotiation skills, and sound business judgment.
- Ability to interpret complex policies and legal language, assess risk and develop risk mitigation strategies.
- Ability to build collaborative relationships and effectively communicate (orally and in writing) with clients, executives, managers, colleagues, and support staff.

- Effective organizational and multi-tasking skills.
