Package: Base salary, pension, PMI , life assurance, 25 days leave annually, flexible working.

Reporting to: Group Company Secretary

 

The Role

Working within a friendly and supportive team, we are looking for a proactive and experienced corporate lawyer, to join our international Legal and Company Secretarial team. You will undertake a varied corporate role, working with senior business leads across the group on a variety of business-critical projects.

 

Responsibilities

  • Provide legal advice and support relating to corporate matters including international restructuring projects, cross-border M&A (both share sale and business & asset transfers), and corporate governance matters.
  • Provide legal advice and support relating to general commercial matters and projects.
  • Draft, review, and negotiate contracts relating to the matters above.
  • Working with internal and external specialists to identify TUPE requirements, data protection, and other regulatory matters.
  • Manage all legal requirements throughout the corporate transaction life cycle, including due diligence and outside counsel.
  • Work with the Company Secretariat on UBO and KYC information requests, maintenance of Group Structure Charts, corporate record keeping, and statutory filings.
  • Assist the Group Company Secretary on Corporate Insurance matters (renewals, claims, reporting & process). Prior experience with insurance matters (although welcome) is not necessary.
  • Oversee the maintenance of a Group property database and manage a General Administrator who will be responsible for building it.
  • Develop, manage, and maintain relationships to help deliver legal support working with other Inizio departments across the globe.
  • Contribute to the Legal and Company Secretarial Department's planning, cohesion, and consistency in advice, and the general effectiveness of the department as a whole.

 

What you bring to the role

  • Qualified lawyer with at least 4 years' post-qualification experience.
  • Experience with corporate transactions at a reputable firm and/or an in-house legal team.
  • Knowledge of company and contracts law.
  • Appreciation of cross-border and multi-jurisdictional transactions.
  • Experience with general commercial contracts such as client and supplier agreements, and consultancy agreements.
  • An active interest in improving the delivery of legal services within a large organisation.
  • Ability to assess legal risk against commercial goals.
