The Corporate Counsel (APJ) will be responsible for supporting all legal matters arising out of the APJ region. This role will report to the VP, Head of International Legal and work in conjunction with internal counsel(s) in the international legal team as well as at the US headquarters to advise the organization on cybersecurity and data privacy laws, commercial transactions, global corporate governance matters, and compliance matters affecting KnowBe4 and its various affiliates. The main focus of this role will be: 1) to assist with a variety of commercial contracts and transactions that impact the organization’s APJ sales operations; 2) to support the legal team with corporate tasks regarding our pre-existing APJ group entities (currently we have offices in Japan, Singapore, India and Australia) and 3) to assist with further potential expansions in the APJ region.
Responsibilities:
- Draft, review, analyze and negotiate various contract documents, including master services agreements, data protection agreements, statements of work, purchase orders, license agreements, reseller agreements, NDAs, RFPs, etc. with a heavy focus on technology contracts.
- Provide advice and interpretation of contract requirements, obligations, and risk exposure to management.
- Provide administrative support to the VP, Head of International Legal and other team members in the International Legal Sub-Section.
- Verify compliance with corporate guidelines and summarize risks for management review and approval.
- Implement strategies to avoid litigation and mitigate potential risks.
- Advise and provide support to the tax, finance and HR departments as needed.
- Conduct process and procedure audits to ensure legal compliance and that best practices are followed.
- Advise on contract status, legal risks, and the liabilities associated with different deals.
- Monitor and ensure compliance with required corporate filings.
- Stay informed on relevant laws and regulations that may impact the organization’s APJ operations.
- Prepare documents related to renewals of trade licenses or other corporate registrations of our group entities, in close collaboration with regional external counsels.
- Obtain certificates of good standing/certificates of existence for our group entities as needed.
- Organize and maintain contracts and legal files internally, both digital files (and hard copies as needed).
- Maintain an organized filing system of electronic documents in Google Drive.
- Provide support to and participate in the preparation, execution and organization of commercial (sales and procurement) contracts and associated materials.
- Obtain signatures on documents, print, scan and distribute signed agreements.
- Maintain high confidentiality as may be required for most correspondence and projects.
- Maintain a list of pending customer and vendor contracts and update status, as needed.
- Liaise with internal executives and staff at all levels in an appropriate manner.
- Interact with outside parties (e.g. regional outside legal counsels, service providers, and government agencies) to gather information, documentation or data.
- Correspond with sales representatives and other internal personnel regarding various legal matters or queries and escalate/flag, as needed.
- Manage, participate in, and resolve general legal matters
- Research legal issues and prepare memorandum to explain any risks/liabilities that could impact the organization.
- Interpret and apply U.S. and foreign laws to business operations.
- Assist with global expansion (including the integration of Egress in the APJ region).
- Serve as a strategic representative in the local office, providing first-hand insights and ensuring seamless communication between regional operations and global leadership.
Minimum Qualifications:
- Must have completed a doctorate or masters of law (or equivalent degrees)
- Attorney-at-law/barrister/solicitor with bar registration (previously held or current)
- Minimum 6 years of experience practicing law in areas applicable to the position
- Minimum 6 years of experience drafting and reviewing legal documents in English
- Demonstrated ability to negotiate contracts and conduct complex business transactions across APJ regions
- Minimum 6 years of experience negotiating commercial contracts including technology contracts
- Minimum 6 year of experience with data privacy
- Experience working in-house
- Knowledge in data privacy/cybersecurity
- Experience with compliance programs
- Experience with APJ public procurement laws
- Certifications preferred (e.g., IAPP CIPP/A or other relevant programs)
- Business proficient in both English and Japanese language, with demonstrated ability to negotiate contracts and conduct complex business transactions across APJ regions
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization and in multiple different time zones
- Strong negotiating skills with both legal and commercial issues
- Excellent time management, organization skills, and punctuality
- Ability to handle high volumes of work at a fast pace
- Ability to establish and maintain strong relationship between the organization’s business units and affiliate entities
- Ability to work both independently and collaboratively
- Ability to work well under pressure
- Ability to work with teams long-distance (via Zoom etc.)
- Fluent in Japanese
