
Director, Commercial Counsel

Job Overview:
We are seeking an accomplished and highly motivated attorney to join Omada's Legal team as our new Director, Commercial Counsel. Reporting to the Senior Director, Legal, and initially joining the company as an individual contributor, this role will manage a variety of complex commercial contracts across our rapidly growing digital health organization. The ideal candidate is an expert drafter and negotiator, capable of efficiently handling a high volume of sophisticated agreements with precision, strategic insight, and autonomy. This position offers a unique opportunity to significantly impact our business operations by providing senior-level legal guidance in a dynamic, innovative environment at the intersection of healthcare and technology.
Key Responsibilities:
- Serve as a primary legal contact for the commercial business unit and provide end-to-end support in the contracting experience
- Lead the drafting, review, and negotiation of complex commercial contracts, including master services agreements, health plan provider agreements, business associate agreements, and strategic partnership agreements with large and sophisticated entities in the healthcare space
- Inform contracting strategy to ensure alignment with Omada’s business goals, policies, and risk tolerance
- Provide expert, pragmatic, and business-minded guidance on contract-related issues to key decision-makers across the organization, balancing legal risk with business objectives
- Develop and implement innovative processes, playbooks, and templates to enhance efficiency and scalability within the commercial legal function
- Collaborate with other members of the legal team to ensure compliance with federal and state healthcare regulations, including HIPAA, fraud and abuse laws, and emerging digital health regulations, while supporting Omada's growth initiatives
- Maintain comprehensive deal trackers, manage multiple high-priority projects simultaneously, and ensure timely execution of all legal deliverables in a fast-paced environment
- Provide overflow support for Omada's procurement and vendor contracting efforts with critical partners like SaaS vendors, data warehouses, AI/ML solution providers, care delivery partners, medical device suppliers, and consultants
You’ll Love this Job if You Have:
- 10+ years of relevant legal experience working on commercial and/or health care transactions in-house and/or at a top U.S. law firm
- Extensive background in drafting a variety of agreements including service agreements, license agreements, SaaS agreements, data use agreements, partnership agreements, NDAs, and business associate agreements
- Deep understanding of practical legal concerns in commercial and technology transactions, particularly in the healthcare sector
- Understanding of federal and state privacy laws relating to personal information, including personal health information under HIPAA, and experience handling privacy and data security matters in commercial contracts
- Superior negotiation skills, with a history of successfully and independently navigating complex transactions and high-stakes discussions
- Ability to understand complex issues, assess risk, and provide concise, practical, and business-focused legal advice to stakeholders across the company
- Outstanding written and verbal communication skills, with the ability to convey complex legal concepts to non-legal audiences
- Ability to lead, manage, and prioritize competing transactions and other projects from inception to completion in a collaborative, fast-paced environment
- Experience working with and counseling clients in day-to-day business operations (i.e., sales, operations, product, engineering, clinical, finance, etc.)
- J.D. from an accredited law school and active membership in good standing with a state bar

- Prior work experience in the healthcare industry (including experience negotiating agreements with health insurance companies, pharmacy benefit managers, and/or health systems)
- Experience with federal and/or state health care regulations (including fraud, waste, and abuse rules and antikickback statutes)
- Demonstrated success in building and scaling legal processes and utilizing technology/tools to create efficient, replicable workflows for contract management
- Experience with healthcare technology, digital health platforms, or telemedicine services

Below is a summary of salary ranges for this role in the following geographies:
California, New York State and Washington State Base Compensation Ranges: $225,400 - $281,000*, Colorado Base Compensation Ranges: $215,600 - $269,500*. Other states may vary.
This role is also eligible for participation in annual cash bonus and stock options.
