Associate General Counsel
At Personalis, we are transforming the active management of cancer through breakthrough personalized testing. We aim to drive a new paradigm for cancer management, guiding care from biopsy through the life of the patient. Our highly sensitive assays combine tumor-and-normal profiling with proprietary algorithms to deliver advanced insights even as cancer evolves over time. Our products are designed to detect minimal residual disease (MRD) and recurrence at the earliest timepoints, enable selection of targeted therapies based on ultra-comprehensive genomic profiling, and enhance biomarker strategy for drug development. Personalis is based in Fremont, California.
The Associate General Counsel will provide comprehensive legal support across a wide range of commercial and corporate legal matters, working closely with the SVP, Chief Legal Officer and internal stakeholders. The role requires an attorney with strong business acumen, excellent legal judgment, and the ability to manage multiple responsibilities in a fast-paced environment. The ideal candidate will have a background in commercial transactions, compliance, and risk management, with a focus on delivering strategic, high-quality legal services that support business objectives.
Key Responsibilities:
- Work closely with the business development team and outside counsel to ensure efficient and effective deal execution.
- Draft, review, and negotiate a variety of commercial agreements, including NDAs, customer vendor agreements, licensing agreements, and partnership contracts that align with business goals and comply with applicable laws and regulations.
- Help develop and implement company-wide compliance programs, ensuring adherence to regulatory requirements such as data privacy, employment law, and anti-bribery.
- Monitor legal and regulatory changes and advise the business on any necessary adjustments to processes or policies.
- Provide advice on employment matters, including employee relations, workplace policies, and disputes.
- Assist with managing and overseeing outside counsel in litigation matters.
- Proactively work to minimize litigation risks and ensure compliance with legal and regulatory obligations.
- Act as a legal business partner by providing pragmatic legal advice that balances risk and opportunity.
- Assist with the protection of intellectual property, including patents, trademarks and copyrights, and with managing IP-related disputes.
- Develop and conduct training sessions on legal topics, including contract negotiation, compliance, and ethical standards.
- Draft and maintain internal policies to ensure the company complies with evolving laws and regulations.
Qualifications:
- Education: Juris Doctor (JD) from an accredited law school.
- Bar Membership: Must be a member in good standing of the bar in at least one U.S. jurisdiction.
Experience:
- Associate General Counsel: 7+ years of relevant legal experience, with at least 3+ years in a corporate legal department.
- Strong experience in commercial contracts and compliance.
- Strong plus for privacy experience, specifically negotiating contracts with UK- and EU-based large pharmaceutical customers and academic collaborators that include Data Protection Agreements and GDPR clauses.
The hiring range for this position is $255,000 to $315,000 per year, which may factor in various geographic regions. The base pay actually offered will take into account internal equity and also may vary depending on the candidate’s geographic region, job-related knowledge, skills, and experience among other factors. Our full-time regular positions also include an annual performance-based bonus (or a sales incentive plan) and long-term incentive units (equity) provided as part of our compensation package, in addition to a full range of medical, financial, and/or other benefits, dependent on the level and position offered.
