Senior Corporate Counsel (Part-time)

Great part-time opportunity for an experienced In-house Lawyer to join a vibrant team within an exciting, high-growth global company as Senior Corporate Counsel. 

Reporting directly to the Group General Counsel in Australia, this role will serve as our sole legal counsel in the US, act as US Company Secretary and will support the Global Head of Compliance with respect to US specific compliance requirements. 

As a pivotal member of the Legal team, you will collaborate closely with our Sales, Finance, IT, Marketing, Product, and Operations teams in the US, while providing essential support to the Global Head of Compliance and contributing to Prezzee’s business on a global scale.

Permanent part time role of 24 hours per week (equivalent to 3 days per week ) which can be worked across the week by agreement and may be perfect for someone looking to accommodate school hours or other personal commitments. 
 
Hybrid role base in our  New York office located in Midtown area, however, we are open to other locations for the right candidate.

About the role:

  • Give accurate and timely counsel to senior leadership on a variety of legal topics with a focus on general commercial, data protection, employment and intellectual property law.
  • Overseeing and managing the corporate secretarial function for our US entity.
  • Handling statutory filings and reporting obligations with regulatory bodies, such as the SEC.
  • Advising on corporate governance matters and ensuring the board and executive management are informed of their legal obligations..
  • Maintaining corporate records and registers, ensuring accuracy and accessibility.
  • Acting as a liaison between the US entity and the Global Head of Compliance.
  • Assisting in the preparation and dissemination of shareholder communications and other corporate documents.
  • Partner and collaborate with the business to understand pressure points, strategy and objectives and effectively communicate risks and legal issues involved in any decision.
  • Research and evaluate different risk factors regarding business decisions and operations.
  • Liaise with external counsel with respect to the management of US litigation matters.
  • Apply effective risk management techniques and offer practical advice on possible legal issues.
  • Communicate and negotiate with external parties including regulators, external counsel, public authority and others creating relationships of trust.
  • Assist with the development of internal governance policies and compliance monitoring.
  • Draft agreements, contracts and provide other legal advice to assist the leadership team in protecting the company’s legal rights.
  • Assist with policy development that serves the business both regionally and globally.
  • Deal with complex matters with multiple stakeholders.
  • Provide clarification on legal language or specifications to everyone in the organization.

 

About You:

  • JD from a leading program with strong academic credentials and a minimum of 6 years in an established law firm or in-house at a technology entity, preferably software or SaaS, focused on commercial transactions.
  • Ability to provide practical advice with regard to a wide variety of issues involved in outbound and inbound commercial transactions.
  • Expertise in drafting, negotiating, and maintaining a wide variety of commercial agreements typical to the technology - including SaaS sector, such as sales agreements, NDAs, reseller and other channel partner agreements, and technology partnership agreements.
  • Ability to work with Sales, Finance and IT teams collaboratively.
  • Ability to work independently, collaborative, with an upbeat can-do work ethic where you can take ownership and have fun. 
  • Experience in competition and consumer, technology and privacy/data protection laws and compliance to include financial services and payment regulations.

This position is ideally based in New York City, New York. Part-time 24 hours per week base salary range between 160,000-180,000 based on the industry benchmark for position, function, level.  However, actual base salary will depend on location, varying circumstances and individualized factors  such as job-related knowledge, skills, experience, and other objective business considerations.
