Position Overview

SingleStore’s legal team partners across the company to advance and protect SingleStore’s interests by contributing practical counsel, energetic problem-solving, and strong execution—all with efficiency and optimism. 

We are seeking a diligent and detail-oriented Paralegal based in Costa Rica to support our US legal team. The successful candidate will work under the supervision of our Associate General Counsel, handling a variety of tasks that ensure the smooth operation of our corporate governance, subsidiary management, compliance, procurement and vendor engagement circumstances, among other legal matters.

Role and Responsibilities

  1. Corporate Governance & Subsidiary Management:
    • Assist in drafting and maintaining corporate documents such as name reservations, articles, bylaws, operating agreements, dissolutions, conversions, resolutions, foreign qualifications, business name filings, inter-company agreements, affidavits, and license renewals.
    • Ensure compliance with governance policies, coordinate evaluations, handle director and officer questionnaires, and manage corporate governance for all subsidiaries.
    • Support acquisition due diligence, conduct various audits, and respond to information requests.
    • Prepare and review materials for Board and committee meetings.
    • Provide guidance on advertising and marketing standards to internal stakeholders to ensure compliance.
    • Draft, review, and prepare regulatory filings and documents required by state and federal agencies.
  2. Compliance
    • Communicate and collaborate with various internal teams and functions, as well as perform those tasks necessary to ensure the company’s compliance with multi-national regulatory schemas - e.g., privacy, security, and government-related matters.
  3. Procurement Support:
    • Review and redline various agreement types, including consultant/contractor, software, marketing, event agreements, spend, and renewals.
    • Collaborate with Finance, IT, HR, and Security departments for approvals and arrange for signatures.
    • Create requisitions in the Coupa system, including drafting, reviewing, and providing advice on agreements.
  4. Non-Disclosure Agreements (NDAs):
    • Review, revise, and arrange for signatures on NDAs.
  5. Legal Documents and Procedures:
    • Draft various legal documents and maintain management of systems and files.
  6. Intellectual Property:
    • Conduct trademark and patent searches, draft related documents, and verify proper licensing and usage rights.

Required Experience

  • A positive, can-do attitude and collaborative spirit.
  • 5+ years paralegal experience, preferably in technology. Experience working in-house at a technology company, software company, or infrastructure company strongly preferred.
  • Excellent communication and client relation skills.
  • Bachelor's degree.
  • Strong knowledge of corporate governance, subsidiary management, and procurement processes.
  • Familiarity with data privacy issues, including GDPR, CCPA, and information security standards.
  • Excellent attention to detail and ability to handle sensitive and confidential information.
  • Strong communication and organizational skills.
  • Proficiency with legal research tools and contract management software.
  • Strong knowledge of US laws and regulations, legal practices, etc.
  • Fluent English, both written and verbal.
