Commercial Counsel

Vancouver, Canada (Remote)

SOCi, the CoMarketing Cloud for Multi-Location Enterprises, is currently looking for an experiences Commercial Counsel candidate to join our expanding legal team. This role is pivotal in supporting our large sales teams by negotiating SaaS agreements, Data Processing Agreements (DPAs), Statements of Work (SOWs), Reseller Agreements, and Partnership Agreements. The ideal candidate will have a solid foundation in commercial law, with specific experience catering to enterprise-level negotiations within the SaaS industry.

SOCi expects to pay a base salary in the range of $122,973 - $160,811 CAD base plus bonuses/commission. Within the range, individual pay is determined by factors such as job-related skills, experience, and relevant education or training.

How You’ll Make an Impact

  • Draft, review, and negotiate a wide range of outbound commercial contracts, including but not limited to SaaS agreements, DPAs, SOWs, Reseller Agreements, Referral Agreements, and Partnership Agreements.
  • Provide strategic legal advice to the sales and business teams, ensuring compliance with current laws and regulations.
  • Work closely with internal teams to streamline contract management processes and optimize contract lifecycle management (CLM) systems.
  • Leverage AI/GAI technologies to enhance efficiency and decision-making within the legal department.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry guidance that impact the company’s products and services.
  • Foster strong relationships with stakeholders across the organization to facilitate a collaborative approach to contract negotiation and compliance.
  • Participate actively in developing and maturing the company’s legal processes and policies.

What You’ll Need to be Successful

  • Remote Opportunity: Ability to work 100% remotely 
  • Must Have:  
      • J.D. from an accredited law school and admission to at least one state bar.
      • 5 years relevant experience with 2-3 years of experience in-house commercial law, specifically negotiating SaaS agreements, DPAs, SOWs, Reseller Agreements, and Partnership Agreements.
      • Demonstrated experience working with large sales teams and supporting enterprise-level negotiations.
      • Proficiency in CLM systems, Slack, Google Suite, and Salesforce.
      • Interest in and willingness to use AI/GAI technologies in legal operations.
      • Excellent interpersonal and communication skills, with an emphasis on humility, collaboration, and team orientation.
      • Ability to thrive in a fast-paced, hypergrowth environment and adapt to evolving business needs.
      • Experience in a tech company, particularly in the SaaS industry, is highly desirable.
  • Desired Skills (but not required):  
    • Experience in MarTech/AdTech space
    • Experience working in a hypergrowth company
  • Education
    • J.D. from an accredited law school and admission to at least one state bar.
