Key Responsibilities

• Negotiate and draft commercial agreements, such as master software and services agreements, partnership and vendor agreements, NDAs, and terms of use
• Review and help with responding to requests for proposal (“RFP”)
• Review current contracts to ensure terms are satisfactory
• Help identify legal and other risks regarding different company initiatives
• Research and advise on a variety of areas of law, including, intellectual property, labour and employment, compliance, corporate governance
• Provide assistance with other legal department/company projects from time to time.

Desired Qualifications and Experiences 

•  Business degree, law degree, juris doctor or other similar degree
• At least 1-3 years’ experience drafting and negotiating transactional documents in the software industry, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs
• Experience working with customers located in the United States
• Ability to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently
• Experience working with government bodies and public safety agencies
• Efficient, effective, well organized, and able to prioritize and manage multiple projects
