Key Responsibilities
- Negotiate and draft commercial agreements, such as master software and services agreements, partnership and vendor agreements, NDAs, and terms of use
- Review and help with responding to requests for proposal (“RFP”)
- Review current contracts to ensure terms are satisfactory
- Help identify legal and other risks regarding different company initiatives
- Research and advise on a variety of areas of law, including, intellectual property, labour and employment, compliance, corporate governance
- Provide assistance with other legal department/company projects from time to time.
Desired Qualifications and Experiences
- Business degree, law degree, juris doctor or other similar degree
- At least 1-3 years’ experience drafting and negotiating transactional documents in the software industry, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs
- Experience working with customers located in the United States
- Ability to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently
- Experience working with government bodies and public safety agencies
- Efficient, effective, well organized, and able to prioritize and manage multiple projects
