AlertMedia is seeking a business-minded attorney (Sr. Commercial Counsel) with a solid understanding of technology contracts and experience in managing and negotiating a high volume of commercial transactions ranging from our SMB customers to Fortune 100 global enterprises. You will help AlertMedia continue its growth and success, with a focus on contracting for customers, vendors, and strategic partnerships. You will be the lead attorney working on a variety of innovative legal issues across the entire company. You will be required to leverage your expertise, good judgement, and strong business sense to help us grow, while assessing and mitigating legal risk.

You are relentlessly stakeholder-focused to ensure timing expectations are met. You are risk aware in protecting the business legally but not risk adverse to a fault. You can balance being very detail-oriented with being able to see the big picture. You are comfortable staying on top of fast-moving information and able to respond at a moment’s notice, and you bring a sense of urgency to everything you do. You see yourself as a team player and consultant working closely with internal and external stakeholders to drive negotiations to completeness. 

What you get to do every day: 

  • Lead Commercial Negotiations: Own and manage the end-to-end negotiation process for a high volume of complex commercial contracts across all customer segments—from SMBs to Fortune 100 enterprises—including Master Service Agreements, SaaS agreements, data privacy terms, and strategic partnership contracts. Act as the primary point of contact for deal-related legal matters. 
  • Contract Drafting and Review: Review, draft, and revise a wide variety of commercial agreements, ensuring alignment with AlertMedia’s risk profile, legal requirements, and business objectives. Propose creative, practical solutions during negotiations that balance legal protections with business enablement. 
  • Cross-Functional Collaboration: Partner closely with Sales, Finance, Deal Desk, Procurement, Executive leadership and other members of the legal department to align contract terms with strategic priorities. Influence deal strategy and ensure smooth execution by proactively managing internal stakeholder expectations. 
  • Stakeholder Support and Enablement: Provide timely, clear, and actionable legal guidance to the Sales and Customer Success teams during deal cycles. Train and mentor internal stakeholders on legal and negotiation best practices to improve contract turnaround times. 
  • Operational Excellence in Contracting: Contribute to the development, implementation, and improvement of contracting workflows, contract lifecycle management (CLM) tools, and negotiation playbooks. Ensure accurate documentation and tracking of contractual terms and risk exposure. 
  • Regulatory and Privacy Expertise: Stay up to date on legal trends affecting the SaaS industry, including data privacy laws like GDPR and CCPA. Draft and negotiate Data Processing Agreements (DPAs) and other data security documentation in partnership with AlertMedia’s security team. 
  • Risk Management: Thoughtfully assess legal risks associated with various contract terms, provide business-oriented advice, and recommend strategies for mitigating exposure. Ensure AlertMedia’s contractual positions are appropriately enforced and escalated when necessary. 

What you bring to the role: 

  • Proven Negotiator: Demonstrated ability to independently lead and close high-stakes negotiations with large, complex customers and strategic partners. Experience within an enterprise SaaS business is strongly preferred. 
  • Excellent Communicator: Outstanding written and verbal communication skills, with the ability to simplify complex legal issues and effectively influence both legal and non-legal stakeholders across all levels of the business. 
  • Commercially Minded: Strong commercial judgment and a pragmatic approach to balancing legal risk with business needs in a fast-paced, high-growth environment. 
  • Urgent and Detail-Oriented: Operates with a strong sense of urgency while maintaining exceptional attention to detail and delivering high-quality work product. 
  • Privacy Law Expertise: Deep understanding of data privacy regulations including CCPA and GDPR, with hands-on experience drafting and negotiating Data Protection Addendums (DPAs) and related provisions. 
  • Business-Driven Legal Partner: Eager to immerse yourself in the business, proactively identify legal and operational risks, and propose creative solutions that support growth. 
  • Independent and Collaborative: Able to manage multiple priorities autonomously while working effectively with cross-functional teams in a dynamic, collaborative environment. 
  • High Integrity and Ethics: Maintains the highest ethical standards and professionalism in all aspects of legal and business conduct. 
  • Team-Oriented: A collaborative and collegial team player with excellent interpersonal skills and a positive, solution-oriented mindset. 
  • Location: This is a hybrid role, with an expectation of 3 days per week in our beautiful headquarters in downtown Austin, TX. Must reside in Austin or surrounding areas 

 Minimum requirements: 

  • JD, with admission to at least one bar  
  • 6+ of in-house experience with 4 years at a SaaS company
