Team Overview:

The SFM legal and compliance team is a seasoned group of attorneys, compliance officers, paralegals and administrative support professionals. Our goal is to provide timely, business-

oriented legal solutions that advance SFM’s business objectives, while protecting its legal and

financial interests and reputation. We support all aspects of SFM’s business including providing advice and counsel to senior management, negotiating complex investment transactions, drafting and reviewing contracts, managing disputes and litigation, and ensuring compliance with applicable laws and regulations.

 

Job Overview:

SFM is seeking an experienced, business-minded attorney to join its team as Legal Counsel in the New York office. The Legal Counsel will work on a broad range of legal matters under the supervision an Assistant General Counsel and the General Counsel, with a primary focus on the structuring and execution of the firm’s investments. 

Reports to: Assistant General Counsel

 

Major Responsibilities:

  • Acting as legal advisor on a broad array of complex investment-related transactions, including private credit, private equity, convertible bonds, structured credit, distressed and special situations credit, and/or venture capital. The Counsel will be responsible for preparing and negotiating, among other transaction documents:
    • purchase and sale agreements and ancillary documents (e.g., transfer agreements)
    • credit agreements
    • security and guarantee agreements
    • indentures
    • subscription agreements
    • investment management agreements
    • side letters
    • confidentiality and non-disclosure agreements
    • third-party
  • Preparing and reviewing agreements related to investments in external hedge funds and private equity funds.
  • Ad-hoc specialized legal projects, as
  • Managing outside counsel and effectively intermediating between outside counsel and internal clients.
  • Remaining abreast of industry practices and relevant legislative proposals and
  • Generally, providing legal and investment transaction counsel and guidance to the SFM business and investment teams.

 

What We Value:

  • J.D.
  • Active bar membership in good standing in at least one U.S. jurisdiction (New York preferred).
  • Minimum of 5-10 years of relevant legal experience in structuring, drafting and negotiating transaction documents for investments in a variety of asset classes, including private credit, private equity convertible bonds, structured credit, distressed and special situations credit, and/or venture capital.
  • Experience will have been gained at either a top-tier law firm and/or as an in-house attorney with a financial services institution or private investment firm.
  • Excellent grounding in contracts law and securities law, and commensurately significant first-hand drafting and negotiation skills.
  • Outstanding intellectual ability, attention to detail and work ethic.
  • Excellent written and oral communication skills, including strong drafting skills and attention to detail in the context of complex transactional documents.
  • Strong business acumen and the ability to understand the business consequences of legal advice.
  • Possesses practical business judgment, the ability to communicate complex legal issues clearly and succinctly, and the ability to assess the trade-off between legal risk and business reward.

 

What We Offer: 

We anticipate the base salary of this role to be between $200,000-$250,000. In addition to a base salary, the successful candidate will also be eligible to receive a discretionary year-end bonus.
