
Sr. Counsel, Corporate and Securities
- Serve as a key driver of a wide range of corporate initiatives. You will have primary responsibility for the company’s annual proxy statement and executive compensation disclosure. You will also work on other SEC filings.
- Provide daily legal support to the Board and its committees, particularly the Compensation Committee. This includes preparing for meetings, reviewing materials, drafting minutes and resolutions, addressing equity and incentive plan issues, and managing executive compensation governance. Additionally, support these areas: capital markets and M&A transactions, corporate governance, stockholder matters, earnings releases and processes, as well as internal policies and processes.
- Lead and coordinate the entire proxy statement process. This includes disclosures about executive compensation and matters related to say-on-pay. You will also engage with internal stakeholders and external advisors.
- Advise company leadership and cross functional teams throughout the organization on complex legal issues and risks and guide matters to successful resolution.
- Shape and improve legal processes that enable both legal and business functions to scale effectively.
- Assist other teams and members with projects on an as needed basis.
You Bring

6+ years of experience practicing corporate and securities law required, including 3+ years of experience at a top tier law firm.

Inhouse experience at a public company is a plus.

Degree from a top tier law school.

Member of a state bar in good standing.

A solid background in corporate governance and securities for public companies is necessary. This includes significant experience with annual proxy statements and executive compensation reporting. Supporting the board of directors and its committees, especially the Compensation Committee, is also required. Additionally, experience with SEC filings, capital markets, and M&A transactions is needed.

Base Pay Range (Annual)
$176,400 - $258,720 USD
Additional Compensation and Benefits: Lucid offers a wide range of competitive benefits, including medical, dental, vision, life insurance, disability insurance, vacation, and 401k. The successful candidate may also be eligible to participate in Lucid’s equity program and/or a discretionary annual incentive program, subject to the rules governing such programs.
