Senior Counsel, Commercial Transactions

The Senior Counsel, Commercial Transactions will serve as a key member of MEI’s Legal team, reporting directly to the Deputy General Counsel & Vice President, Legal. This role partners closely with our Development, Finance, and Operations teams to guide commercial and project transactions from early-stage structuring through financial close.

The ideal candidate will be commercially minded and serve serve as a strategic advisor and partner to other members of the transactional team, playing a key role in securing new project acquisitions and development while leading diligence and closing processes with external partners. This position requires strong analytical and communication skills, and the ability to balance multiple, competing priorities on a regular basis.

You’ll work on a wide range of renewable energy projects, helping shape MEI’s growth through thoughtful deal-making, creative problem-solving, and clear, pragmatic advice. What you’ll own

  • Partner with internal teams to guide all phases of project transactions, from LOI through execution, across development, acquisition, and financing deals.
  • Draft, review, and negotiate key project and commercial documents, including (but not limited to):
    • Membership Interest Purchase Agreements and Asset Purchase Agreements
    • Power Purchase Agreements (PPAs), Subscriber Agreements, and Energy Services Agreements
    • EPC and O&M Agreements
    • Utility Interconnection and Land Agreements (leases, easements, licenses, etc.)
    • Tax equity and lender documentation (partnership agreements, loan agreements, etc.)
  • Advise on legal and commercial risks while ensuring alignment with MEI’s strategic and long-term goals.
  • Collaborate across teams — from Development to Asset Management — to create structures that support sustainable project success.
  • Work directly with developers, investors, and lenders to close deals efficiently and equitably.
  • Engage and manage external counsel, while helping improve MEI’s templates, processes, and internal knowledge sharing.

What will help you succeed (don’t need to check every box, but here is what will help you thrive)…

  • Strong legal foundation – Juris Doctor from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
  • Transactional experience – ~8+ years of experience at a top law firm and/or in-house legal department, including experience leading transactions from term sheet through close.
  • Deal execution skills – Proven ability to structure, negotiate, and close complex transactions involving multiple stakeholders under fast-moving or competing timelines.
  • Document drafting expertise – Experience preparing and negotiating a wide range of corporate and commercial agreements, such as PPAs, EPCs, and acquisition documents.
  • Commercial judgment – A practical, business-minded approach to balancing legal risk and strategic opportunity.
  • Collaboration and communication – Ability to work effectively with diverse teams across Development, Finance, Operations, and external partners.
  • Industry familiarity – Experience in solar or broader renewable energy is a plus, but not required.

$190,000-210,000 per year, plus discretionary annual bonus
Compensation will be determined based on experience, qualifications, and scope of responsibility. The total package typically includes eligibility for an annual performance bonus and long-term incentive opportunities
