GENERAL FUNCTION 

We are seeking a highly skilled and motivated Senior Corporate Counsel to join our legal team.  Reporting to the Chief Legal Officer, the successful candidate will focus on drafting, reviewing, and negotiating commercial contracts, and will serve as a strategic advisor to the business.

 

DUTIES/RESPONSIBILITIES

  • Lead the review, negotiation and drafting of a variety of commercial contracts, including vendor agreements, technology licensing agreements, partner agreements, and customer contracts
  • Assess risk and propose practical strategies to mitigate risk and meet business objectives
  • Collaborate with internal stakeholders to ensure contractual terms are aligned to business needs
  • Update contracting processes to improve efficiency, consistency and risk management
  • Assist the Chief Legal Officer with other projects and matters as needed

EDUCATION 

  • Law degree (LL.B., J.D., or equivalent) from an accredited school
  • Membership in the Bar of a Canadian province and/or U.S. state

 

EXPERIENCE

  • 6 to 10 years in corporate law (a combination of private law practice and in-house legal experience is preferred)
  • Strong background in drafting and negotiating commercial contracts and experience in corporate legal matters
  • Experience in financial services is an asset
  • Experience in both Canadian and U.S. legal systems is highly desirable

  • Ability to identify legal risks and provide pragmatic solutions that align with business goals
  • Strong ability to manage multiple projects in a fast-paced environment while providing clear and practical legal advice to internal stakeholders
  • Ability to manage complex legal matters and work collaboratively across departments
  • Ability to lead negotiations and develop strategies to overcome potential obstacles
  • Strong organizational skills and attention to detail
  • Excellent written and verbal communication skills
