SpyCloud is seeking a Senior Contracts Negotiator to join our Legal team and play a critical role in supporting both the customer and vendor contract lifecycle. This role is responsible for the redlining and negotiation of customer-facing agreements and vendor-side contracts, ensuring consistency with SpyCloud’s standards and business objectives. You’ll collaborate closely with our Sales, Revenue Operations, and GRC teams and partner with our Contract Manager and Legal Ops team to ensure alignment between process and substance. The right candidate thrives in cross-functional settings, enjoys contract negotiation, and values clarity, consistency, and a well-organized desk.

What You'll Do:

• Review, redline, and negotiate a wide range of customer and vendor agreements, including NDAs, MSAs, Order Forms, and DPAs.
•  Coordinate internal stakeholder reviews as needed, keeping timelines and approvals on track and ensuring compliance with Legal, Finance, and GRC requirements.
• Collaborate with go-to-market teams to clarify contract language, resolve redlines, and communicate Legal-approved positions.
• Work closely with our Contract Manager and Legal Ops Manager to align intake, routing, and tracking processes—focusing on smooth handoffs, mutual visibility, and shared priorities.
• Provide our Legal team with feedback to maintain and improve contracting resources, including contract templates, clause libraries, and playbooks.
• Contribute to internal training and enablement materials on contract terms, timeline expectations, and process guidance.
• Partner with Legal Ops to track negotiation metrics and contract lifecycle data to identify to improve efficiency, consistency, and stakeholder experience.

Requirements:

• 5+ years of experience in contracts negotiation, legal operations, or a similar role, ideally within a SaaS or B2B technology company.
• Demonstrated experience redlining and negotiating commercial agreements and collaborating effectively with prospects, vendors, and internal teams.
• Strong working knowledge of core contract terms, including limitation of liability, indemnification, confidentiality, and data privacy.
• Excellent communication skills with the ability to simplify legal concepts for business stakeholders.
• Detail-oriented, well-organized, and confident managing parallel timelines.
• Experience with contract lifecycle management tools (e.g., Ironclad) and familiarity with Salesforce or similar CRM tools.

Nice to Have:

• Familiarity with privacy and cybersecurity contracting terms and frameworks such as GDPR, CCPA, and SOC 2.
• JD, paralegal certification, or related legal training (not required).
• A collaborative working style—and a good sense of when to push, when to pause, and when to say, “Let’s clarify that in writing.”
