Associate Counsel
Triumvirate Environmental, one of the largest environmental services firms in North America, is seeking an Associate Counsel for our Legal team.
This individual will be responsible for driving M&A transaction success by providing expert legal support and guidance, ensuring legal and compliance requirements are met, and contributing to the seamless integration of post-acquisition activities. This individual will also be responsible for streamlining M&A processes, fostering collaboration across teams, and supporting the company’s strategic growth initiatives through successful legal execution of transactions.

This position reports to our Director of Legal. This role is hybrid and is based in Somerville, MA.
Responsibilities:
- Provide legal guidance and support on mergers, acquisitions, and other strategic transactions.
- Assist outside counsel in legal due diligence to identify and mitigate potential risks.
- Work closely with internal stakeholders, including Acquisitions, Compliance, Finance, Insurance, Purchasing, and Human Resources to support M&A activities and align with company objectives.
- Handle all necessary integration for the Legal Department, which includes updating the company’s corporate entities and organizational chart; collecting all relevant legal documents (contracts with clients, contracts with vendors, finance leases, real estate leases, legal formation documents), organizing the same in accordance with the Legal Department’s internal systems and contract lifecycle management software, and ensuring the same are entered into the Legal Department’s tracking systems.
- Support integration efforts post-transaction to ensure seamless transitions and adherence to contractual obligations.
- Maintain accurate records of M&A activities and transaction documentation.
- Develop and enhance M&A playbooks, templates, and best practices to streamline processes and improve efficiency.
- Stay updated on industry trends, legal developments, and regulatory changes affecting M&A transactions.
Basic Requirements:
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in good standing in at least one U.S. jurisdiction.
- 5+ years of legal experience, with a strong emphasis on mergers and acquisitions.
- Proven experience drafting and negotiating complex transaction documents.
- Strong understanding of corporate law, securities regulations, and M&A best practices.
- Exceptional analytical, problem-solving, and organizational skills.
- Ability to manage multiple priorities and deadlines in a fast-paced environment.
- Excellent interpersonal and communication skills, with the ability to work collaboratively across diverse teams.
- Must be eligible to work in the United States without future sponsorship
- Must have a reliable form of transportation
Preferred Requirements:
- Prior in-house legal experience, particularly in a corporate legal department.
- Familiarity with cross-border transactions and international M&A.
- Experience with integration planning and execution post-acquisition.
