
Legal Commercial & Operations Manager

Location: This role is 100% Remote based in the US
Qualified candidates will have meaningful prior experience at a high-growth software technology company and/or working on a range of commercial contracts, and the commensurate understanding of key contracts law concepts. Strong attention to details and superb organizational skills are essential, as are being execution-oriented, collaborative, customer/service-minded, drafting and communication skills, and ability to assist in creating, executing, training and implementing policies, processes and workflows. Bonus points for candidates who also have some experience assisting corporate matters administration (e.g., M&A, financings, audits).
Responsibilities:
- Administer, and help negotiate standard technology contracts and related agreements, such as NDAs, SaaS agreements, partnership agreements and services agreements, using Armis playbooks. Highly desirable is an ability to review redlines to standard agreements, identify potential risks relative to playbook frameworks, and provide relevant language designed to mitigate such risks.
- Own contracts lifecycle management (CLM) tool implementation, optimization, and maintenance.
- Work alongside Sales, Finance, Product, Marketing, Technology, and other internal customers.
- Collaborate cross-functionally to ensure that commercial negotiations are timely and that documents get completed, filed and complied with.
- Manage and be responsible for the updating of a legal commercial contracts library and other template legal documents.
- Participate in cross-functional meetings with internal customers to capture and consolidate requirements and establish specifications.
- Ensure compliance with all regulatory requirements and company policies and procedures.
- Own and be responsible for maintenance of various certifications through renewal lifecycle, as well as maintenance of various corporate subsidiaries.
- Bonus points for candidates who can support corporate transactions including organizing data rooms, managing selective access permissions, configuring relevant systems
Requirements:
- 5 – 15 years of increasing responsibilities and experience reviewing, drafting, and negotiating commercial contracts. Emphasis on SaaS vendors, consulting services, NDAs analysis.
- Strong understanding of key issues in typical information technology (focus on SaaS) agreements and issues.
- Bachelor’s degree in an applicable field preferred, a law degree an advantage.
- Strong organizational skills.
- Strong working knowledge of legal principles, legal terminology, and IT terminology, with focus on commercial transactions, SaaS agreements, NDAs, corporate governance and compliance.
- Strong technological skills, including the ability to electronically organize and manipulate documents; ability to effectively manage calendars; strong knowledge of Microsoft Office (Word, Outlook, Excel and PowerPoint).
- Ability to work collaboratively, multitask between shifting priorities, lead cross-functional groups, and operate in a fast-paced culture.
- A proactive approach to recognizing needs, anticipating issues, and solving problems.
- Notary public certification, or willingness to become a notary (preferred).
- Good Verbal and Written Communication. Strong Interpersonal Skills - ability to work with diverse personalities.
- Work independently while using appropriate a level of discretion to complete projects/assignments as directed.
- High ethical standards including ability to maintain the confidentiality of non-public corporate information, and work remotely and reliably
Salary range guidance for this position is: $120,000-145,000 per year.
