Axlerator is seeking a Corporate Development, Subject Matter Expert to drive and execute corporate development initiatives to support our long-term growth strategy. We are open to a range of titles and years of experience for this position as it is a small, yet growing team. Compensation will be commensurate with the knowledge and capabilities of the candidate. 

 

Reporting directly to the VP and Head of Corporate Development, this person would work closely with the executive team and cross-functional stakeholders, and help lead the identification, evaluation, and execution of mergers and acquisitions, joint ventures, strategic investments, and other business development opportunities. Your ability to analyze market trends, assess potential targets, and negotiate complex deals will be critical to the company’s success.

In This Role, You Will…

 

  • Lead the full end-to-end M&A lifecycle, including strategy, target identification and marketing mapping, due diligence, valuation/financial modeling and analysis, and negotiation, as well as support integration efforts
  • Support incubation efforts, including engaging and managing relationships with incubator companies, leading the development and documentation of standard process/procedure to solidify incubation platform, and drive success of platform execution
  • Lead the development of any presentations or materials for executive leadership and external stakeholders, which would include the target profile, market analysis, business case and investment proposals/packages, risks, financial modeling, and recommendations
  • Develop and maintain a robust pipeline of potential acquisition targets 
  • Determine attractive customers segments, seek to understand customer needs and shape the Go-To-Market motion 
  • Communicate regulatory, financial information, and complex strategic issues in a clear, concise and relevant manner to assist and guide decision-makers in corporate transactions
  • Exude the ability to market services both to internal partners and external clients, develop client networks, and support efforts in developing and executing sales and marketing strategies
  • Build and maintain relationships with investment banks, private equity firms, and other stakeholders
  • Identify and help develop partnerships opportunities in coordination with growth teams
  • Lead, manage, and coach junior members of the team; groom them for more responsibility

 

Key Responsibilities:

 

  • Lead the discovery and analysis of current incubating companies
  • Document lessons learned and best practices to develop formal Axle incubation structure
  • Drive successful execution of incubation process, including identification, vetting, training, and successful transition and scaling of incubating companies
  • Lead effort to connect incubating companies with Axle work for partnership opportunities
  • Provide strategic oversight of capital expenditures, budgeting, and financial forecasting for both existing assets and new acquisitions.
  • Develop investor packages, including Axle’s investor pitch deck and financial model
  • Proactively track, document, and execute tasks with advisor/banker engagements, including coordination of due diligence efforts, target coordination, reach-outs, and follow-ups
  • Lead negotiations and coordination of deal terms, valuation, sign, and close related to M&A deals, including purchase agreements, joint ventures, and partnership structures.
  • Facilitate the execution of all M&A related agreements (e.g., NDAs, indications of interest, letters of intent, exclusivity agreements, purchase agreements, etc.)
  • Obtain and manage the housing, distribution, and review of all documentation related to all potential transactions with key internal stakeholders
  • Lead the identification and evaluation of new opportunities, including monitoring industry trends and market conditions, and performing market analysis and risk / opportunity assessments
  • Conduct legal, financial, operational, and cross-functional due diligence, including: 
    • Building valuation models, including discounted cash flow, return on invested capital, and weighted average cost of capital analysis. This includes everything from industry transaction multiple benchmarks, assessment of comparable company trading multiples, etc.
    • Building deal P&L / operating model based on a contract waterfall 
    • Supporting synergy analysis and tracking 


Qualifications:

 

  • Bachelor’s Degree in Business-related field, MBA or Masters preferred
  • 5+ years of experience, ideally with M&A experience performing M&A integration consulting services, or industry deal experience as part of a corporate development team in an operational role
  • Strong knowledge of the M&A deal execution process and transactions with proven track record of successfully managing multiple complex initiatives within the complete M&A life cycle, from inception to completion
  • Highly proficient in financial modeling and forecasting
  • Strong organization, program management, and analytical skills
  • Strong ability to compile, analyze and present data, findings and progress in a concise manner
  • Ability to think and pivot between strategic and tactical actions; persistent attention to detail, and ability to lead and flourish through ambiguity
  • Exceptional written and interpersonal communication skills 
  • Able to interact effortlessly with senior leaders, junior team members, and outside professional advisors, with the ability to calibrate based on the audience
  • Fosters a collaborative and innovative culture, encouraging cross-functional collaboration to deliver strategic initiatives
  • Confident leading meetings with executive stakeholders, making and influencing decisions, documenting progress, and resolving issues quickly and collaboratively
  • Self-starter with an ownership mentality and a strong sense of drive and ability to work effectively and meet goals in a fast-paced dynamic environment
  • Collaborative team player with positive attitude and creative problem solving
  • Sets performance goals and tracks team and individual progress toward achieving development and M&A milestones
  • A well-balanced leader who can roll up their sleeves and focus on the detail while also grasping and supporting the big picture
  • Preferred sector experience within the following preferred: Technology, Research, Healthcare, and Government Contracting
  • Have the ability for occasional travel to events/conferences throughout the year

This role has a market-competitive salary with an anticipated base compensation range listed below. Actual salaries will vary depending on a candidate’s experience, qualifications, skills, and location.
