Sr. Director, Contracts

Position Description:

Reporting to the General Counsel, the Sr. Director, Contracts role is responsible for leading commercial contract support for Ceribell, including sales, vendor and government contracts and processes. The position works closely with Sales, Marketing, HR, IT, Finance and other groups to negotiate appropriate agreements, coordinate compliance with Ceribell policies, and provide other business support (e.g., for purchasing). This individual also supports the General Counsel in overseeing and managing contractual issues within the organization by developing processes, policies, and practices in accordance with applicable laws and regulations.

 

Responsibilities:

  • Drafts and negotiates and, as the company grows, trains and manages others who draft and negotiate commercial agreements, including without limitation GPO, IDN, BAA, VA, clinical trial, partnership and vendor agreements 
  • Understands the operations of internal business partners and the strategic goals of the company and oversees the handling of legal documents in a diplomatic manner that protects the company and balances business, financial and legal objectives. 
  • Develops and implements contract drafting and negotiation strategies and playbooks for customer and vendor contracts, ensuring alignment with corporate objectives and legal requirements. 
  • Keeps relevant colleagues apprised of legal and regulatory issues and concerns, contract negotiations and negotiated terms. 
  • Exercises independent judgment in escalating issues within broadly defined practices and policies.      
  • Identifies opportunities for process improvements and develops and implements them.   
  • Advises management regarding any potential legal exposure due to a change in business practice or other events and identifies significant legal issues in incoming contracts. 
  • Works with stakeholders to effectively prioritize contracts for drafting and review, which includes coordinating workflow, managing resources and using standardized processes to ensure that contracts are delivered timely, efficiently, and accurately. 
  • Research benchmarks and establish KPIs to track key metrics for customer negotiations, deal velocity and risk management, while offering potential solutions for improvements.

 

Requirements/Qualifications:

  •  4-year Bachelor's Degree 
  • Minimum of 8 years Contract Management experience 
  • Ability to:
    • Handle multiple tasks and priorities in a fast-paced, changing business environment. 
    • Collaborate cross-functionally and be persuasive up, down and across the organization 
    • Work with internal and external clients to solve problems while protecting company interests 
    • Analyze complex facts and legal concepts quickly and accurately, and develop appropriate recommendations 
    • Accurately assess risk and value of proposals and issues, effectively communicate such assessments to the appropriate level of management, and tailor the department’s work accordingly 
    • Handle multiple simultaneous contracts with tight timelines 
    • Delegate appropriately and leverage technology effectively to enhance productivity 
    • Work independently and deal with multiple responsibilities and changing priorities. 
  • Experience supporting due diligence activities and advising decision-makers on results of findings 
  • Proven communication skills – clear and open written and oral communication at all levels 
  • Accountable to uphold the highest standards of ethics and honesty in all transactions. 
  • Detail-oriented and organized, with a thorough knowledge of contract administration policies, practices and systems, and demonstrated leadership skills 
  • Skilled at handling conflicts directly and respectfully. 
  • Competence in using contract lifecycle management software and coordinating with legal operations lead on implementation and best practices re legal software solutions 
  • Familiarity with all major commercial contract types, including SaaS subscriptions, NDAs, MSAs, consulting agreements, CTAs, BAAs, CRADAs and other VA agreements 

 

PREFERRED EXPERIENCE  

  • Increasingly complex management experience in medical device industry, including negotiation experience with GPOs, IDNs and other large healthcare groups 
  • 8-10 years US government contracting experience and management, including DoD, VA and Federal Supply Schedule 
  • Corporate paralegal experience or J.D. 
  • Experience with Salesforce, including contract cycle process implementation and improvements 
  • Experience with IronClad CLM system

 

A candidate’s final salary offer will be based on their skills, education, work location and experience, and thus it may differ from the posted range. Compensation may also include bonuses consistent with Ceribell’s corporate compensation plan. Compensation Range

$204,000 - $258,500 USD
