Impact
We are seeking an experienced and highly skilled General Counsel to join our executive team, reporting directly to our Chief Legal Officer. The ideal candidate will have extensive experience in addressing regulatory and corporate legal issues within the financial services industry, specifically for prime brokers and/or institutional trading businesses. A deep understanding of digital assets and the evolving regulatory landscape surrounding them will be helpful as well. This role will involve providing strategic legal guidance and managing our global legal team.
Responsibilities:
- Regulatory Advice:
- Oversee and ensure compliance with all relevant laws and regulations affecting the company, including commodities, securities and digital asset regulations.
- Develop and implement policies and procedures to mitigate legal risks.
- Corporate Governance:
- Advise the executive team on corporate governance matters.
- Draft, review, and negotiate a wide range of commercial agreements, including partnership, vendor, and client contracts.
- Risk Management:
- Identify potential legal risks and develop strategies to mitigate them.
- Manage litigation and dispute resolution processes as necessary.
- Strategic Guidance:
- Provide legal advice on business strategies and initiatives, including new product launches and market expansions.
- Stay abreast of industry trends and changes in the regulatory environment to proactively address potential impacts on the business.
- Mergers & Acquisitions (M&A) and Corporate Development:
- Support M&A activities by conducting due diligence, structuring transactions, and negotiating terms.
- Provide legal guidance on other corporate development activities, including joint ventures, strategic partnerships, and investments.
- Team Leadership:
- Lead and manage the legal team, fostering a culture of excellence and continuous improvement.
- Collaborate with cross-functional teams to support business objectives and drive growth.
Requirements
- Extensive experience addressing regulatory and corporate legal issues for prime brokers and institutional trading businesses.
- Proven track record in advising on complex transactions and compliance matters related to institutional trading, including equities, derivatives, and digital assets.
- Experience working with institutional clients, such as hedge funds, asset managers, and proprietary trading firms, providing legal guidance on trading strategies and operations.
- In-depth experience with private credit markets and borrowing and lending structures.
- Expertise in structuring and negotiating credit facilities, loan agreements, and other financing arrangements.
- Familiarity with secured and unsecured lending, collateral management, and risk mitigation strategies.
- Extensive knowledge and experience in digital assets, including cryptocurrencies, tokens, and blockchain technology.
- Experience advising on the legal and regulatory aspects of digital asset transactions, including token offerings, trading, custody, and compliance.
- Familiarity with the evolving regulatory landscape for digital assets, including CFTC and SEC regulations, as well as international frameworks in UK, EU and APAC.
- Experience working with or advising fintech companies or startups in the digital asset space is highly desirable.
- Strong expertise in corporate governance.
- Experience advising executive teams and boards of directors on governance best practices, board composition, and fiduciary duties.
- Ability to draft and implement corporate policies and procedures that align with regulatory requirements and business objective
- Strong leadership skills with the ability to manage and mentor a team.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in at least one U.S. jurisdiction.
- Minimum of 12 years of legal experience, with significant experience in the financial services industry.
Desirable
- Experience working in or with fintech companies.
- Familiarity with international regulatory environments related to digital assets.
- Strong network within the legal and regulatory community.
Base pay for this role is expected to be between $375,000 - $470,000 USD for New York City and San Francisco Bay Area. This expected base pay range is based on information at the time this post was generated. This role will also be eligible for other forms of compensation such as a performance linked bonus, equity, and a competitive benefits package. Actual compensation for a successful candidate will be determined based on a number of factors such as location, skillset, experience, and qualifications.
