Commercial Contracts Manager

We are seeking an experienced Commercial Contracts Manager to lead contract lifecycle management and negotiation strategy to scale HawkEye’s Data Subscription Services sales globally, to include commercial contract strategy, international partner agreements, and supplier agreements. Reporting to the Sr. Director, Contracts, you will partner closely with our legal team to build a comprehensive contracting function supporting our global commercial business delivering Data Subscription Services. This role also supports HawkEye procurements for the Space, Engineering, and Data Science teams to continue to build our constellation and analytic processing infrastructure.  

Your main responsibilities will be:

  • Support for sales of HawkEye’s Data Subscription Services
    • Process sales capture agreements for US and foreign opportunities such as NDAs, demonstration licenses, teaming agreements, and agreements with local partners and agents.
    • Process and submit company submissions in formal procurements by US and foreign government agencies, including timely, complete and compliant, effective preparation of proposals with all support documentation such as pricing and cost volumes, representations and certifications, as applicable for diverse procurement mechanisms across US and foreign governments. Following submission, serve as the company point of contact to the customer Contracting Officer, or equivalent, for all contractual issues during program delivery.
    • Negotiate and prepare final contract documentation, ensuring key commercial deal points are within approved outcomes for pricing, service levels, and data rights licensing, and that key legal terms conform to company guidance.  
    • Prepare and issue End-User License Agreements for HawkEye data deliveries.
    • Manage and populate the contracts database within enterprise tools and produce reports and summaries as needed.
  • Support for procurements by HawkEye’s Space, Engineering, and Data Science teams
    • Process purchase orders, master purchasing agreements, professional services agreements, software and data subscription agreements, and other purchases, in support of HawkEye’s spacecraft design and manufacturing, constellation operations, data and analytic processing.
    • Process and manage compliance certifications from suppliers, such as those required under the FAR, DFARs, Arms Export Control Act, Anti-Bribery and Corruption policies, Commercial Space Launch Act cross-waivers.
    • Process and manage informal competitive procurements by HawkEye to obtain the best solution at the best price.
    • Manage and populate the procurement contracts database within enterprise tools and produce pre-expiration notices, reports and summaries as needed.
  • General Contracts functions
    • Initiate and manage company approvals process for proposal submission and contract execution. Obtain and distribute fully executed contracts.
    • Draft and Negotiate Complex B2B Agreements: Prepare, negotiate, and finalize prime and sub-contracts, Data Purchase Agreements with US and international data vendors, Master Service Agreements (MSAs), Task Orders, Statements of Work (SOWs), and NDAs with international customers and clients, all in accordance with corporate guidance and procurement regulations.
    • Identify and Mitigate Commercial Risk: Conduct thorough risk assessments of contractual terms, implementing mitigation strategies to protect company interests while maintaining deal viability and compliance with contractual obligations.
    • Collaborate with other Legal Department members to ensure unified contracting strategy across US and foreign business, providing seamless support to sales teams and maintaining consistent risk management standards.
    • Coordinate Cross-Functional Teams: Work with legal, finance, sales, and operations to ensure contract terms align with business objectives, financial requirements, and operational realities.
    • Support and Enable Sales Team: Serve as strategic partner to sales organization, providing guidance on contract structures, negotiation approaches, and deal terms that balance revenue objectives with risk management. Ensure efficient processes that enable sales teams to close deals faster.
    • Apply Commercial and Financial Acumen: Analyze pricing structures, payment terms, and revenue recognition implications to create mutually beneficial deals that support business growth and profitability.

Your skills and qualifications:
Essential education and experience:

  • 5+ years of commercial contract management experience in B2B environments, preferably in SaaS, technology, defense, or data services industries with vendor and international client experience.
  • Proven B2B contract negotiation expertise: Demonstrated success negotiating complex commercial agreements including MSAs, data licensing agreements, and international contracts, balancing commercial objectives with risk management.
  • Data vendor and international contracting knowledge: Experience with data provider contracts, licensing models, and international commercial contracting practices across different jurisdictions.
  • Contract type expertise: Strong understanding of various commercial contract structures (fixed-price, T&M, subscription-based, licensing agreements) and their appropriate business applications.
  • Cross-functional collaboration and process optimization: Ability to work effectively across sales, legal, finance, and operations teams while developing efficient contract processes, templates, and workflows that enable scaling.
  • Excellent communication skills: Ability to negotiate effectively, explain complex contractual concepts to non-legal audiences, and document contract rationale and risk assessments clearly.

Desirable:

  • Commercial and financial acumen: Strong understanding of revenue recognition, pricing strategies, margin analysis, and deal structuring, with ability to evaluate financial implications of contract terms.
  • International experience: Ability to support international growth in various countries, often serving as a liaison between a non-U.S. entity/party and the company.
  • Contract management systems proficiency: Experience with contract lifecycle management (CLM) platforms and document management systems.
  • Professional certifications preferred: Certified Commercial Contracts Manager (CCCM), Certified International Contracts Manager (CICCM), or similar credentials are highly valued.
  • Demonstrated knowledge of Federal Acquisition Regulation, Defense Federal Acquisition Regulation, Truth in Negotiations Act, and a working knowledge of International Traffic and Arms Regulation.
  • Some knowledge of International and Defense Security Cooperation Agency security assistance, Foreign Military Financing contracts.

We offer a compensation package that includes a competitive base salary plus annual performance bonus and benefits. We consider many factors when determining salary offers, such as candidate's work experience, education, training & skills, as well as market and business considerations. We are also open to considering candidates with experience and qualifications at a different level than required in a job posting, which may affect the compensation package offered.

Salary Range

$125,000 - $150,000 USD
