The Deputy General Counsel is a key member of the Legal and Corporate Compliance team and will report to the General Counsel. He or she will assist and partner with the General Counsel on a daily basis to represent the legal interests of the company. This position will focus primarily on managing the company’s commercial contracting, M&A, equity and corporate governance functions. The successful candidate will be able to adapt to rapidly changing priorities and business needs and comfortable being asked to advise on general matters that might not fit squarely within his or her area of expertise.
This is a NYC-based hybrid role with 2-3 days a week in our Manhattan office.
Primary Responsibilities for Deputy General Counsel:
- Serve as a trusted advisor to the General Counsel, executive leadership, and strategic business partners, providing proactive and actionable legal counsel.
- Draft, negotiate, and manage a wide variety of commercial agreements, including services agreements, vendor agreements, SaaS agreements, intellectual property licenses, non-disclosure agreements, and data privacy agreements.
- Enhance and streamline contracting processes to improve efficiency and ensure alignment with business needs.
- Provide legal oversight and strategic advice for all aspects of M&A transactions, including due diligence, deal structuring, contract negotiation, and post-closing integration.
- Collaborate with internal and external teams to mitigate risk and align transaction strategies with organizational goals.
- Advise on and manage corporate governance matters, including compliance with corporate formalities, board operations, and subsidiary management.
- Oversee corporate record-keeping and ensure alignment with applicable laws and regulations.
- Support securities law compliance and equity plan administration as needed.
- Contribute to the development and execution of the Legal team’s strategy to scale legal operations for a rapidly growing organization.
- Manage a team of leaders with key responsibilities over commercial, M&A, and corporate matters.
- Mentor and develop Legal team members to foster a high-performing and collaborative environment.
- Perform other duties as assigned, which might include real estate and litigation matters.
What success looks like in this role:
- Streamlined Commercial Contracting Process: Support and maintain efficient contracting workflows, reducing turnaround time for high-priority agreements, while balancing business goals with risk management.
- Execution of M&A Transactions: Provide exceptional legal oversight for mergers and acquisitions, ensuring timely execution of due diligence, deal structuring, negotiations, and seamless post-closing integrations that align with the company’s strategic growth objectives.
- Robust Corporate Governance Compliance: Maintain best-in-class corporate governance practices, including board operations, subsidiary management, and corporate record-keeping, ensuring alignment with applicable regulations and organizational needs.
- Team Development and Collaboration: Mentor and develop Legal and Compliance team members to foster a high-performing, collaborative, and accountable culture, ensuring effective partnerships with cross-functional teams across the organization.
- Support of Equity and Compliance Functions: Ensure securities law compliance, oversee equity plan administration, and provide ongoing legal guidance to support equity-related initiatives, reinforcing trust with stakeholders and employees.
Qualifications for Deputy General Counsel:
- 10+ years of legal experience, including substantial experience in commercial contracting, mergers and acquisitions, and corporate governance. A combination of law firm and in-house experience is preferred.
- Member in good standing of any state bar.
- Proven ability to take ownership of complex legal projects from initiation to completion, driving strategic outcomes by anticipating challenges, aligning cross-functional stakeholders, and delivering timely, actionable solutions.
- Exceptional drafting, negotiation, and problem-solving skills, with a keen ability to balance business needs with legal risks.
- A collaborative and strategic mindset, with excellent interpersonal and communication skills to work effectively with legal and non-legal stakeholders alike.
- Experience in the health tech or healthcare industries is a plus, along with familiarity with data privacy, compliance, and employment law.
- Demonstrated leadership, managerial and interpersonal skills among a distributed team. Ability to communicate effectively with lawyers and non-lawyers alike, with experience working with executive leadership.
- Excellent judgment and proven experience analyzing risks and making risk determinations.
- Participate as a team player in all phases of the organization; remain open and responsive to change.
- Outstanding written and oral communications skills.
The target base salary range for this position is $236,250 - $300,000, and is part of a competitive total rewards package including stock options and benefits. Individual pay may vary from the target range and is determined by a number of factors including experience, location, internal pay equity, and other relevant business considerations. We review all employee pay and compensation programs annually using Radford Global Compensation Database at minimum to ensure competitive and fair pay.
