Associate General Counsel

WHAT YOU'LL WORK ON
Our Legal team is small but mighty, and we support the business in a wide array of matters. The Associate General Counsel will be a key member of our Legal team. This role is an individual contributor role and will report to our Deputy General Counsel. In this role, you will play a pivotal part in supporting our corporate strategy and business development teams by creating, negotiating, and analyzing strategic partnership agreements and vendor contracts. You will provide strategic advice on deal structures, risk assessment, and contract enforcement. You will support M&A activities, ensuring compliance with relevant laws and mitigating legal risks while enabling the company’s growth. You will participate in other general corporate legal matters. You will help our team streamline processes and improve efficiency both for the legal team and for other cross-functional company initiatives.
RESPONSIBILITIES
- Draft, review, negotiate, and advise on a variety of contracts, including technology partnership and development agreements.
- Conduct M&A due diligence, deal structuring, contract negotiations, and integration planning.
- Collaborate closely with the executive teams to understand business objectives.
- Provide legal advice on strategic partnerships and programs.
- Conduct thorough risk assessments and communicate potential legal implications to relevant stakeholders
- Ensure compliance with relevant laws, regulations, and industry standards in all contractual matters
- Support the legal team in developing and maintaining contract templates, guidelines, playbooks, and best practices
- Provide legal training and guidance to internal teams to enhance contract awareness and adherence
- Work cross functionally with sales, finance, product and operations teams to align legal strategy and business objectives.
YOUR BACKGROUND THAT LIKELY MAKES YOU A MATCH
- Juris Doctor (JD) degree and active bar membership in good standing
- 10+ years of experience in related in-house legal department and technology-related contracting or M&A experience or law firm experience; fintech or banking experience a plus
- Solid understanding of intellectual property, data protection, and privacy issues related to software agreements
- Proven ability to assess and creatively address or mitigate legal risks in a fast-paced, technology-driven environment
- Excellent communication and negotiation skills, specifically experience communicating with executive leadership teams
- Ability to work collaboratively and independently, managing multiple priorities effectively
- While this role is based in San Francisco, California, we're open to exploring possibilities for qualified candidates in Austin, Texas.
This role has a base annual salary range of $250,000 - $270,000 plus a competitive equity and benefits package. (Salary to be determined by relevant experience, location, knowledge, and skills of the applicant, internal equity, and alignment with market data.)
