The Role

StarRez, Inc. is seeking a Contracts Specialist to join our growing Legal Team and provide critical support across all stages of the contracting lifecycle. This role will partner closely with both the Legal and Go-To-Market Teams to manage the contract process from intake and RFP support, through negotiation and execution.

The ideal candidate will bring extensive experience drafting, reviewing, and negotiating a high volume of SaaS and technology contracts, with demonstrated success in governmental or public sector contracting. You’ll bring a genuine enthusiasm for learning and an ability to pick up new tools and technologies quickly. Just as important, you will communicate clearly, listen actively, and contribute to a supportive, positive, and open-minded team culture. This role requires excellent organizational skills, meticulous attention to detail, and a collaborative, service-oriented approach to supporting internal teams and business stakeholders. In addition to core contracting responsibilities, the Contracts Specialist will contribute to broader legal initiatives.

This position goes beyond simply managing RFP responses and contract negotiations. This role will champion a culture of collaboration and consistency by helping internal teams understand the benefits of a structured proposal process. The person in this position will be instrumental in strengthening cross-team alignment, deepening understanding, and guiding the organization toward more efficient, scalable, and strategic practices.

 

Role Specifics

  • Work Location: Remote (US) or Hybrid (Denver)
  • Travel: Less than 5% (The percentage of travel is an estimation, and it could vary based on business needs.)   
  • Reporting Structure: This role reports to the Vice President, Legal.

What You Will Own

  • Draft, negotiate, and close assigned customer agreements (SaaS & Services), including amendments, MSAs, MNDAs, SOWs, renewals, supplier agreements, and others
  • Be the point of contact for customer renewal amendments in coordination with Customer Success and Finance and ensure timely closure
  • Collaborate with appropriate internal team members to ensure alignment and agreement on contractual terms and conditions
  • Identify and mitigate contract risks, and validate legal and regulatory compliance of all executed contracts (and communicate as necessary cross-functionally)
  • Work cross functionally with teams throughout the business to ensure contractual compliance and best practices
  • Lead contract negotiations with publicly funded institutions, balancing state requirements with commercial tolerances
  • Develop and maintain scalable contract processes, templates, and playbooks
  • Perform other responsibilities in support of the Legal team’s initiatives

 

Required Qualifications

  • Meet ONE of the following educational requirements:
    • Bachelor’s degree in related field (business, law, or similar)
    • Paralegal Certification OR Associate’s Degree
  • 1+ years of experience in contract management with experience reviewing, negotiating, and/or drafting contracts

 

Preferred Qualifications

  • Juris Doctorate from an ABA approved program
  • Experience focused on SaaS/Software contracts
  • Proven experience negotiating, drafting, and managing a high volume of SaaS and technology contracts with public higher education institutions or other publicly funded entities, with a strong understanding of their procurement and compliance processes
  • Familiarity with state and university contracting standards, such as indemnity, data security, limitation of liability, and procurement regulations
  • Excellent negotiation, analytical, and interpersonal communication skills 
  • Fair, strong, concise and balanced negotiation approach
  • Ability to multitask and prioritize workload in a fast-paced work environment
  • Exhibit great organizational skills and attention to detail 
  • Experience using Artificial Intelligence in work streams and contract review
  • Proficient in contract management software and computer skills including Microsoft Office Suite (Microsoft Word, Outlook, Excel, and PowerPoint)
  • Experience using Salesforce and a CLM, preferably Lexion
  • International contract experience in EMEA and APAC is a major plus
