Director, Corporate Development

Reporting to Corporate Headquarters in Toronto, Ontario, Canada

Reports To: SVP Corporate Development  

Location: Toronto (with international travel as required)

Position Summary

The Director, Corporate Development is responsible for leading the company’s global growth strategy through mergers and acquisitions (M&A), joint ventures, strategic partnerships, capital markets transactions including project financing, equity financings and royalty/streaming financings, and portfolio optimization initiatives. This executive will play a critical role in identifying, evaluating, structuring, and executing transactions that enhance shareholder value and strengthen the company’s position in the mining sector.

The candidate will work closely with the CEO to prepare investor presentations, management shareholder registers, marketing plans, and participate in marketing activities, including investor conferences.

The ideal candidate brings deep investment banking/corporate development experience, strong financial and valuation expertise, and comprehensive knowledge of U.S. government regulations applicable to mining, securities, foreign investment, environmental compliance, and cross-border transactions. 

Key Responsibilities

Strategic Leadership

  • Develop and execute the corporate development strategy aligned with long-term business objectives.
  • Identify acquisition, divestiture, joint venture, royalty/streaming, and strategic partnership opportunities.
  • Provide market intelligence and competitive analysis across critical minerals, precious metals, base metals, and energy transition commodities.
  • Advise executive leadership on growth strategy and capital allocation. 
  • Mentor and develop corporate development and financial analysis team members.

Mergers & Acquisitions

  • Lead end-to-end M&A processes including target identification, valuation, due diligence, negotiation, and integration planning.
  • Build and manage complex financial models (DCF, NAV, LBO, comparable transactions).
  • Structure transactions involving public and private companies, including cross-border deals.
  • Coordinate with legal, tax, technical, ESG, and regulatory advisors.

Capital Markets & Financing

  • Lead equity and debt financing initiatives in collaboration with banks and financial institutions.
  • Maintain relationships with investment banks, private equity firms, sovereign funds, and institutional investors.
  • Evaluate alternative financing structures including project finance, streaming, and royalty agreements.

Regulatory & Government Compliance

  • Ensure transactions comply with applicable U.S. regulations, including but not limited to:
  • SEC disclosure requirements
  • Antitrust regulations (DOJ/FTC review)
  • CFIUS considerations for foreign investment
  • Environmental and land-use regulations
  • U.S. mining and natural resources laws
  • Engage with federal and state regulatory agencies as required.
  • Support government relations strategy related to critical minerals and national security initiatives.

Cross-Functional Leadership

  • Partner with operations, geology, engineering, ESG, and legal teams to assess asset quality and risk.
  • Lead integration planning and post-merger value realization.

Investor Relations

  • Support the CEO and senior leadership team in investor relations activities, including preparation of investor presentations, fact sheets, transaction communications, and other investor-facing materials.
  • Monitor market sentiment, analyst coverage, and peer performance to inform investor messaging and positioning.
  • Assist with preparation for investor meetings, roadshows, and investor conferences, including briefing materials and presentation support.
  • Maintain and analyze the company’s shareholder register and provide insights on investor ownership trends.
  • Support the CEO in company representation at investor conferences, roadshows, and market outreach events.

Qualifications

Education

  • Bachelor’s degree in Finance, Economics, Mining Engineering, Geology, or related field required.
  • MBA or advanced degree strongly preferred.

Experience

Minimum 10 years of progressive experience in:

  • Investment banking (natural resources group preferred)
  • Corporate development within mining or metals
  • Private equity focused on mining or infrastructure
  • Demonstrated track record executing complex M&A transactions ($100M+).
  • Strong understanding of mining asset valuation (reserves/resources, life-of-mine modeling, commodity pricing sensitivity).
  • Experience with U.S. regulatory frameworks affecting mining and public companies.
  • International transaction experience preferred.
