About the Team:
At Aspire, our Corporate Legal Team is instrumental in maintaining a robust framework for corporate governance and regulatory compliance. We ensure the company's operations align with statutory and regulatory requirements, particularly under Singapore law, and support the board in fulfilling its governance responsibilities. By ensuring efficient administration of board activities and compliance with company law, our team plays a critical role in safeguarding Aspire's reputation and facilitating growth as a global fintech leader.
About the Role
As the Corporate Secretary, you will support Aspire’s Board of Directors and senior leadership in ensuring corporate compliance with Singaporean law and other jurisdictions. You will maintain corporate records, handle governance matters, and ensure timely and accurate filings with regulators such as ACRA. You’ll collaborate with cross-functional teams, particularly the Licensing and Compliance teams, to uphold best practices in corporate governance. This role is key to ensuring that Aspire adheres to its legal obligations while continuing to expand in global markets.
Responsibilities include but not limited to:
- Corporate Governance & Compliance: Ensure that Aspire complies with the Singapore Companies Act and other regulatory requirements. Maintain statutory records, including the registers of shareholders, directors, and secretaries, and ensure timely filings of statutory returns with ACRA and other regulators.
- Board Administration: Organize, attend, and record minutes for Board and shareholder meetings. Prepare meeting agendas, board resolutions, and supporting materials. Ensure decisions of the Board are properly communicated and implemented.Keep company directors aware of the deadlines for annual returns and any other filings required by ACRA.
- Corporate Records Management: Maintain and secure company documents, including constitutional documents, meeting minutes, and resolutions of Aspire Group. Ensure all corporate records are up-to-date and accessible to the Board, senior management, auditors, and regulators.
- Regulatory Compliance & Filings: Ensure timely and accurate filings with ACRA and other regulatory bodies. Support compliance with corporate regulations across all jurisdictions where Aspire operates.
- Corporate Transactions: Provide administrative support for corporate actions such as mergers, acquisitions, financing, and restructuring. Draft board resolutions, maintain proper documentation, and liaise with external advisors as needed.
- Advisory on Governance Best Practices: Advise the Board and senior management on corporate governance best practices, ensuring compliance with Aspire’s constitution and applicable laws. Stay informed on regulatory changes that could impact the company.
- Central Point for Corporate Secretarial Services: Act as the main liaison with corporate secretarial service providers (across EU, PACIFIC) to coordinate, follow up, and implement the company’s legal corporate plan, ensuring effective deployment and compliance with regulatory requirements.
Minimum Qualifications:
- Bachelor’s Degree with at least 8 years of work experience in company secretary/ corporate secretarial role, preferably within a multinational corporation or in-house environment
- Strong understanding of the Singapore Companies Act and corporate governance requirements. Knowledge of Companies Act, Corporate Law of other jurisdictions is an advantage
- Attention to detail and well-organized: Demonstrates a careful, methodical approach with strong organizational skills, enabling efficient prioritization and accuracy in managing corporate records and compliance in all corporate matters
