About the role

We are seeking a highly skilled Associate General Counsel, Corporate to join our legal team and provide strategic legal advice on a variety of corporate governance, securities compliance, equity management, and corporate development matters. The ideal candidate will have extensive experience managing corporate governance frameworks, ensuring compliance with legal and regulatory requirements, and supporting executive leadership and the Board of Directors on governance best practices. Key responsibilities include overseeing corporate recordkeeping, managing governance documents, ensuring securities compliance, maintaining Company policies, and proper administration of equity compensation plans. This role will also work with the corporate development team to provide legal support for potential acquisitions and other strategic transactions.

Ideal candidates will have strong analytical skills, excellent judgment, and the ability to manage multiple complex projects in a fast-paced environment. A JD from a top-tier law school and admission to practice law are required, with at least 8 years of relevant legal experience.

What you will do

  • Corporate Governance:
    • Support General Counsel in overseeing corporate governance, including board and committee meeting preparation, Nasdaq compliance, and annual meeting preparation.
    • Draft and review board materials, resolutions, and corporate policies to align with best practices.
    • Support shareholder engagement initiatives and cash and equity incentive programs.
    • Oversee corporate recordkeeping and support subsidiary compliance.
  • Securities Compliance:
    • Partner with SEC reporting stakeholders on drafting and reviewing 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings.
    • Collaborate with finance and investor relations on disclosure controls, earnings calls, and investor presentations.
    • Ensure compliance with insider trading and other policies and provide guidance to executives and employees.
  • M&A Support:
    • Work with a cross functional team of leaders providing legal support for potential mergers, acquisitions, and other strategic transactions.
    • Contribute to due diligence, review and negotiation of transaction documents, and post-transaction matters.
  • Legal Team and Cross-Functional Collaboration:
    • Work closely with the General Counsel and Deputy General Counsel to align legal strategies with business goals.
    • Assist with other corporate matters as needed, including equity management and entity maintenance.
  • Ethics and Compliance:
    • Act with integrity and demonstrate an unwavering commitment to compliance with to the letter and spirit of the Astera Code of Conduct and other company policies as well as all applicable laws and regulations.

What you will need

  • 8+ years of legal experience, including in-house legal experience
  • Law degree (J.D. or equivalent)
  • Experience advising on corporate legal issues, including in public companies
  • Entrepreneurial mindset, self-starting, and comfortable working in a highly dynamic environment
  • Excellent drafting and written and verbal communication skills with the ability to break down complex legal jargon into easy-to-understand and practical advice
  • Passion for efficient processes
  • Strong analytical and problem-solving skills, project management and organizational skills, and attention to detail
  • Team player who works cross-functionally in a complex global organizational environment

The base salary range is $230,000.00 USD – $280,000.00 USD. Your base salary will be determined based on your location, experience, and the pay of employees in similar positions.
