
Senior Corporate Counsel

Purpose
Enable the business to scale and recognize projected A&D and automotive revenue.
The Role
- Provide strategic legal advice to Divergent’s aerospace and defense team regarding transactional and regulatory matters, including U.S. Government contracting regulations, export control regulations, anti-bribery statutes, and campaign finance issues.
- Provide strategic legal advice to cross-functional teams throughout the business on implementing contract requirements and complying with applicable regulations.
- Advise Czinger leadership team on regulatory compliance issues impacting the 21C product launch, new market entry in jurisdictions beyond the U.S., and upcoming regulations relevant to Czinger’s future product lines.
- Negotiate, draft, and implement in-bound and out-bound commercial agreements and strategic partnership agreements for Divergent’s aerospace and defense business, including U.S. Government contracts and subcontracts.
- Draft and implement policies and procedures to ensure compliance with FAR/DFARS and other U.S. Government contract requirements.
- Work closely with Divergent’s project management team to manage customer relationships and program compliance obligations.
- Negotiate and draft commercial agreements related to Czinger’s 21C product launch and future product development.
- Support legal department administrative needs and project management workflow.
Basic Qualifications
- Ability to lawfully access information and technology that is subject to US export controls.
- Ability to lawfully access technology and technical data subject to U.S. export control laws.
- 5+ years working at a top law firm or in-house legal department with a focus on technology transactions and counseling emerging companies.
- Experience working on a high caliber legal team with a track record of providing pragmatic legal advice on complex issues.
- Pragmatic, and flexible in the face of changing business needs.
- Outstanding written and oral communications.
- Outstanding organizational and time management skills.
- Ability to collaborate effectively with cross-functional teams.
- Ability to provide strategic legal advice to members of the executive committee and extended leadership team.
- Must be a member of the California State Bar in good standing.
Preferred Qualifications
- Experience working with U.S. Government contracts and FAR/DFARS compliance requirements.
- Experience working in the automotive industry, including counseling companies on NHTSA requirements for new vehicle type makes
Work Environment
- Office environment with frequent interaction with manufacturing operations.
- Hybrid as appropriate (3 days a week onsite)
Pay Range
$188,600 - $259,300 USD
