Job Profile:

This is an exciting opportunity to join a fast-paced software consolidator on a significant growth trajectory with an unmatched M&A environment.  This position is a newly created role and provides the unique opportunity to lead Banyan’s UK and European tax function.  As the Tax Senior Manager, you will oversee the corporate income and indirect tax compliance for Banyan’s UK and European subsidiaries.  Reporting to the Global Tax Director in North America and working closely with Finance and other tax team members, the ideal candidate will have a strong background in UK corporate income tax and exposure to corporate income taxes for different European countries.  The candidate must be able to work independently and collaborate with other departments, including M&A, finance, and legal.  This role requires a tax professional looking to challenge themselves in a fast-paced, highly acquisitive environment and advance their career in industry.

 

Responsibilities:

  • Prepare, review and sign corporate income tax returns and supporting workpapers for Banyan’s UK subsidiaries.
  • Manage and collaborate with external tax advisors to complete income tax returns for Banyan’s European subsidiaries in Ireland, Germany, Switzerland and more.
  • Calculate current and deferred income taxes for Banyan’s UK and European subsidiaries under local GAAP and US GAAP. 
  • Manage indirect taxes for Banyan’s UK and European subsidiaries.  Prepare, review, remit, and file UK and European VAT returns.
  • Manage tax audits with the HMRC and other tax authorities in Europe. 
  • Work with the Global M&A Senior Tax Manager and perform pre-acquisition tax planning and due diligence on potential UK and European acquisitions.
  • Review tax related items in opening balance sheet and purchase price accounting calculations for UK and European acquisitions.
  • Work with the Global Tax and Treasury teams to repatriate cash using tax efficient methods.  Ensure withholding tax requirements are met. 
  • Prepare and review transfer pricing calculations for Banyan’s UK and European subsidiaries.  Ensure transfer pricing reports and contemporaneous documentation are timely completed with the assistance of external advisors.  Manage transfer pricing payments to ensure they are timely settled and properly recorded.   
  • Complete ad hoc tax projects, including tax research, analysis, and written memos.

 

Qualifications for success:

  • Bachelor’s degree in accounting or finance.
  • ACA/ACCA/CTA designation.
  • Significant UK corporate income tax accounting and returns experience.  Experience must include preparing, reviewing, and signing UK corporate income tax returns and calculating current and deferred income taxes for a multi-national company.  
  • Experience managing corporate income and indirect taxes for European entities in countries such as Ireland, Switzerland, Germany, and Finland.
  • Experience collaborating with Finance and Legal teams, as well as experience liaising with the HMRC and European tax authorities.
  • Mergers and acquisitions tax planning and due diligence experience required.
  • Cross-border tax experience, such as applying for and obtaining double tax treaty relief within Europe.
  • Strong verbal and written communication skills, including experience writing tax memorandums.
  • Strong analytical and problem-solving skills. 
  • Excellent attention to detail and ability to manage multiple priorities. 
  • Highly motivated and energetic with interest in entrepreneurship, software, and finance. 

 

Location + Travel

  • Our UK head office is in the City of London, near Fenchurch Street station.
  • We are open to where people are based in the UK, but would ideally want someone who is open to being in the office two days per week.
  • Extensive travel is not expected in this role, but there may be a need to travel to our European entities or our global HQ in Toronto, Canada a couple of times a year.
